  • Q3 revenue rose 14% year over year: Design-to-silicon-yield solutions increased 8% to $18.6m and Gainshare increased 31% to $8.7m.
  • Nine-month revenue grew 7%. Design-to-silicon-yield solutions rose 16% to $57.7m, while Gainshare declined 12% to $21.3m.
  • Q3 operating margin was approximately 11.5%, versus 11.3% a year earlier. Nine-month operating margin fell to approximately 12.9% from 21.4%, reflecting higher operating expenses.
  • Cash and cash equivalents were $118.5m, down from $126.2m at year-end. Working capital was $150.0m. No debt is reported on the balance sheet; the company stated it had no undisclosed borrowings or debt.
  • Nine-month operating cash flow was negative $0.3m, versus positive $22.1m in 2015. Investing cash outflow was $8.9m, primarily for capital expenditures; financing provided $1.5m. Cash declined $7.6m overall.
  • Total assets were $210.2m and total liabilities $21.2m. Capital expenditures included investment in DFI test equipment; property and equipment rose to $18.2m from $11.3m.

Changes, outlook and risks

  • Management attributed revenue growth to increased project activity and Exensio big-data solution revenue. Q3 Gainshare benefited from higher reported 28nm volumes and more 14nm engagements; for the nine-month period, lower 28nm volumes outweighed 14nm gains.
  • Research and development expense rose 49% to $20.4m for nine months, primarily due to continued development of the Design-For-Inspection (DFI) solution. Management said R&D and SG&A expenses may fluctuate; the filing gives no numerical earnings or revenue guidance.
  • Management expected leading-edge foundry investment to continue during 2016 and said 28nm capacity utilization had improved from its late-2015 low, with further improvement expected for the foreseeable future. These are forward-looking expectations, not quantified guidance.
  • Customer concentration is significant: Customer A represented 38% of Q3 revenue and 42% of nine-month revenue; Customer B represented 12% in both periods. Management noted that customer business changes, production volumes, yield performance, and contract renegotiations can affect results.
  • Other key exposures include variable Gainshare revenue, project cost and completion estimates, foreign-exchange movements, and the recoverability of deferred tax assets. The company reported $11.6m of unrecognized tax benefits, excluding interest and penalties, and a $6.5m valuation allowance.
  • No material legal proceedings or related accruals were reported. The company disclosed no material changes to previously reported risk factors and said disclosure controls were effective.
  • The prior $25m share-repurchase authorization expired October 21, 2016; a new $25m authorization was approved October 25 for the following two years. At September 30, $8.3m remained under the prior program.

Investor verification priorities

  • Track customer concentration and the sustainability and timing of 28nm and 14nm Gainshare revenue.
  • Assess whether DFI development spending and increased capital investment lead to revenue growth, margins, and improved cash generation.
  • Review the working-capital effects of receivables and long-term unbilled amounts: management linked the operating cash outflow to increases in receivables and other assets, including long-term unbilled contract balances.
  • Monitor the new repurchase program, tax uncertainties, and adoption of new accounting standards, particularly revenue recognition, for which the company had not yet selected a transition method or determined the effect.
