Material changes and management commentary

  • Expense growth outpaced revenue: year-to-date noninterest expense rose 19.9%, including higher employee benefits, occupancy and equipment costs, and merger-related costs. Noninterest income fell 7.0%, reflecting lower mortgage banking income and fewer securities-sale gains; service charges and wealth-management income increased.
  • Loan growth was led by commercial and commercial real estate lending. Consumer loans declined. Management cited moderate economic improvement but noted persistently high unemployment in several local markets.
  • On June 28, 2013, the company agreed to acquire Penseco Financial Services Corporation in a stock merger. Penseco shareholders were to receive 1.3636 Peoples shares per share, subject to specified adjustments. Regulatory approvals had been received, but shareholder approvals and customary closing conditions remained outstanding. The deal was expected to close in Q4 2013; the combined company was expected to have approximately $1.6 billion in assets.
  • The company reported no formal earnings guidance. Management said liquidity was adequate and expected funding needs to be met from cash, traditional funding sources, and loan and investment portfolio proceeds.

Risks, commitments and unusual items

  • Interest-rate risk is material. The cumulative one-year rate-sensitive assets-to-liabilities ratio was 0.65. Management said this position could reduce net interest income if rates rise; modeled net interest income declined 2.6% under a +200-basis-point shock and 7.9% under a -200-basis-point shock. Results were within policy limits.
  • Unused loan commitments and standby letters of credit totaled $103.2 million, versus $77.3 million at year-end. Standby letters of credit were $14.1 million, with approximately $13.1 million of collateral value. No allowance for off-balance-sheet credit losses was deemed necessary.
  • Available-for-sale securities had $696 thousand of gross unrealized losses at quarter-end. Management did not consider these losses other-than-temporary impairment and reported no impairment charge for the nine-month period.
  • Three troubled debt restructurings totaling $3.7 million remained outstanding; there were no new restructurings or defaults during the nine months. The filing reported no legal proceedings and no changes to previously disclosed risk factors.

Most important facts for investors to verify

  • Whether the Penseco merger closed as expected, and the final terms, closing costs and effect on shares and capital.
  • Whether elevated merger and health-care expenses persist, and how they affect earnings after the transaction.
  • Loan growth and subsequent credit performance, particularly classified and nonaccrual commercial real estate loans and the adequacy of the allowance.
  • Deposit growth, funding costs and the company’s ability to manage its liability-sensitive one-year interest-rate position.
  • Liquidity and capital after funding commitments, completing the merger and paying dividends; the filing reports commitments but does not quantify future drawdowns.
