POET TECHNOLOGIES INC. annual report, Q4 FY2021

POET Technologies Inc. — 2021 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2021. This is an annual filing, not a separate fourth-quarter report. Financial amounts are in U.S. dollars unless noted; statements use IFRS.

Business context

POET designs and develops photonic integration products based on its Optical Interposer platform, targeting data-center and telecommunications applications. In 2021 it remained at the prototype and customer-qualification stage, with only limited non-recurring engineering (NRE) revenue. Its strategy is “fab-light,” relying on third parties and a joint venture with Sanan IC, Super Photonics Xiamen (SPX), for manufacturing scale.

The company reported no convertible debentures at year-end; remaining liabilities included $31,660 of COVID-support loans and lease liabilities. It had no credit facilities.

Cash flow from investing activities was an outflow of $7.30 million, including purchases of $6.37 million in short-term investments and equipment and patents. Financing activities provided $26.55 million, principally through equity issuance and option and warrant exercises. Cash increased by $8.07 million during the year.

Changes versus prior year and unusual items

  • Revenue rose from zero to $209,100, while operating expenses increased 17% to $17.22 million, including a 23% increase in R&D.
  • Net loss narrowed by $2.50 million, or 14%. The comparison benefited from the absence of 2020’s $2.50 million credit loss on the DenseLight sale receivable. In 2021, POET also recognized a $2.59 million gain on IP contributed to SPX, a $1.14 million equity-method share of SPX’s loss, and $186,747 of forgiven PPP loan income.
  • Operating cash use rose from $9.44 million to $11.23 million. Liquidity increased substantially, supported by a 2021 private placement that generated $11.82 million gross, as well as option and warrant exercises.
  • SPX’s IP contribution was independently valued at $22.5 million. At year-end, POET reported an 88.5% interest but accounted for SPX as a joint venture because relevant decisions require unanimous consent. The recorded investment was $1.45 million after the unrecognized gain and POET’s share of SPX losses.
  • All convertible debentures were converted or repaid during 2021; $3.57 million was converted into units.

Outlook, management commentary and risks

Management expected beta samples to be delivered in 2022 and anticipated customer qualification and possible production plans, with volume production targeted to begin in 2022 and higher volumes later in 2022 and into 2023. These are forward-looking expectations, not reported results. The company planned approximately $7.5 million of 2022 development and engineering spending on 400/800G engines, co-packaged optics and fabrication technologies, and had a $2.75 million 2022 capital budget.

Management said existing cash and resources were expected to fund operating and investing activities beyond one year from issuance of the statements, while acknowledging that additional financing may be needed. Key risks include continuing losses and cash burn, financing availability and shareholder dilution, product development and customer qualification delays, competition, supplier concentration, China and joint-venture governance and funding risks, intellectual-property protection, and COVID-related supplier delays. The filing cited development delays of four to six months or longer. No dividends are planned, and no material off-balance-sheet arrangements or material legal proceedings were reported.

Controls matter: Marcum issued an unqualified opinion on the financial statements but an adverse opinion on internal control over financial reporting. A material weakness involved user access and segregation of duties in financial-reporting software. Management described remediation steps, but the weakness was not considered remediated at the filing date.

Subsequent events: POET completed a 10-for-1 share consolidation in February 2022 and began Nasdaq trading under “POET” in March 2022. Share and per-share amounts in the statements were retroactively restated for the consolidation.

Most important facts for investors to verify

  • Whether customer qualification, beta testing and design wins translated into production orders, meaningful revenue and gross margins.
  • Actual cash burn and financing needs relative to management’s stated runway; assess the potential dilution from options, warrants and future equity raises.
  • SPX’s funding milestones, Sanan IC’s contributions, governance arrangements and POET’s effective economic ownership as capitalization progresses.
  • Whether the identified financial-reporting access-control weakness was fully remediated and controls tested effectively.
  • Whether planned 2022 development, capital spending and production timelines were achieved, particularly given supplier and COVID-related delays.
