Changes versus prior period and financing
- Net loss increased $2.1 million year over year as operating expenses rose $3.5 million, partly offset by $1.7 million more other income. Collaboration revenue decreased $0.3 million.
- R&D expense rose $1.5 million. Higher personnel costs, including stock-based compensation, and increased ulixacaltamide study spending were partly offset by lower Solidus spending and lower costs in some other programs. G&A rose $2.1 million, primarily due to personnel-related costs and stock-based compensation.
- Stock-based compensation increased to $14.5 million from $7.6 million. It is a significant non-cash expense.
- Q1 financing activities provided $182.8 million, principally from the January follow-on offering ($161.6 million net), at-the-market sales and the Tenacia arrangement. Investing activities used $91.2 million, primarily to purchase marketable securities.
- On April 2, 2024, after quarter-end, Praxis raised approximately $215.8 million net in another public offering. Management estimates that March 31 liquidity plus this offering will fund operating and capital requirements into 2027, subject to assumptions that could prove incorrect.
Business outlook, risks and notable items
- Clinical milestones: Topline Phase 3 Essential3 results for ulixacaltamide in essential tremor are expected in the second half of 2024. Praxis reported positive PRAX-628 Photo-Paroxysmal Response study results in Q1 and expects to start its first focal-onset-seizure efficacy study in the second half of 2024, with topline results expected in 2025; a second study is planned for the first half of 2025, with topline results expected in the first half of 2026. PRAX-562 EMBOLD cohort results are expected in Q3 2024. The company anticipates beginning the pivotal phase of elsunersen later in 2024, subject to global regulatory interactions.
- Tenacia agreement: Tenacia received an exclusive license for ulixacaltamide in China, Hong Kong, Macau and Taiwan. Praxis is eligible for up to $264 million in development and commercialization milestones plus tiered royalties. No milestones or royalties were earned in Q1. The related share issuance was recorded at a fair value exceeding proceeds; Praxis recognized $2.5 million of non-cash expense in R&D, and no revenue from this combined arrangement.
- Liquidity and operating risk: Praxis has recurring losses, an accumulated deficit of $693.5 million, and expects losses and operating cash outflows to continue. It states that March 31 liquidity alone is expected to cover at least one year from issuance of the statements; the longer runway estimate into 2027 includes the April offering. Future funding may be needed, and raising capital could dilute shareholders or impose unfavorable terms. Development, trial enrollment, safety, regulatory, manufacturing, IP and commercialization outcomes are uncertain; approval and product revenue may never occur.
- The company reported no material changes to previously disclosed risk factors, no material legal proceedings, and effective disclosure controls as of March 31, 2024. It noted that a 100-basis-point immediate interest-rate change would not materially affect its financial position or results.
Investor facts to verify

- Potential dilution from the January and April offerings, outstanding pre-funded warrants, at-the-market sales and equity compensation.
- Tenacia license economics, including milestone conditions, royalty terms and the accounting treatment of the share issuance and related expense.
- Changes in R&D spending, stock-based compensation and the company’s ability to obtain additional funding on acceptable terms.
