Cost of revenue increased 40% to $81.5 million, primarily from data-center expansion, depreciation and amortization, hosting, personnel and IT support. Operating expenses increased 22% to $134.3 million, including higher technology and development, sales and marketing, and general and administrative costs.
Adjusted EBITDA margin was approximately 38% in 2022 versus 42% in 2021. Stock-based compensation increased to $20.6 million from $14.1 million, and depreciation and amortization increased to $34.2 million from $23.1 million.
Liquidity, capital resources and debt
- Cash and cash equivalents were $92.4 million; marketable securities were $82.0 million, for total cash, cash equivalents and marketable securities of $174.4 million.
- Net working capital was $201.5 million. Accounts receivable were $314.3 million and accounts payable were $277.4 million, including $266.5 million payable to publishers.
- Net cash used in investing activities was $81.4 million, including $35.9 million for property and equipment, $13.0 million for capitalized software and $28.1 million for the Martin acquisition.
- PubMatic had no outstanding borrowings under its $110.0 million secured revolving credit facility at year-end. The facility matures October 17, 2027 and is subject to financial and operating covenants.
- Contractual obligations totaled $70.5 million, including $41.1 million of data-center commitments and $29.4 million of lease payments. The company also disclosed $4.3 million of long-term uncertain tax liabilities excluded from that table.
- Management believes existing liquidity, anticipated operating cash flow and available credit will fund requirements for at least the next 12 months.
Material changes versus 2021
- Revenue growth slowed to 13% from 35% in 2021, while net dollar-based publisher retention declined to 108% from 149%.
- Gross margin declined from 74% to 68% as infrastructure capacity expanded and hosting costs increased, despite a 19% reduction in cost per impression processed.
- Operating income and net income declined substantially because operating expenses, depreciation and amortization, and other costs grew faster than revenue.
- Other income declined by $9.1 million, primarily because of a $5.9 million impairment of an equity investment; 2021 included a gain on that investment.
- PubMatic acquired ConsultMates, Inc., doing business as Martin, on September 16, 2022 for $30.8 million to enhance media measurement, reporting and supply-path optimization. The acquisition added $23.3 million of goodwill and $8.9 million of acquisition-related intangible assets. An additional $14.2 million of post-acquisition cash compensation arrangements was excluded from purchase price.
- The platform processed approximately 159.1 trillion impressions in 2022, up from 92.2 trillion in 2021. Mobile and video, including OTT/CTV, represented approximately 74% of fourth-quarter 2022 revenue.
- Publisher concentration remained material: Yahoo represented 13% of 2022 revenue, compared with 17% in 2021. Three buyers represented 33%, 15% and 11% of year-end accounts receivable.
Outlook, commentary and unusual items
- Management expects revenue to increase in 2023, with mobile and omnichannel video, including OTT/CTV, identified as primary growth drivers.
- Management expects 2023 cost of revenue, technology and development, sales and marketing, and general and administrative expenses to increase in absolute dollars. Data-center depreciation and amortization, higher hosting and power costs, additional personnel and marketing investment are expected to pressure expenses.
- Management stated that it had not observed a material impact from inflation, rising interest rates, foreign exchange volatility or COVID-19 on the business or outlook as of the filing date, but continues to monitor these factors.
- The company authorized a $75 million Class A share repurchase program on February 27, 2023, scheduled to terminate December 31, 2024. The filing does not state that repurchases had occurred as of the filing date.
- Major risks include advertising-market cyclicality and seasonality, macroeconomic weakness, reliance on large publishers and DSPs, pricing and take-rate pressure, competition, privacy and data-transfer regulation, cookie and identifier deprecation, fraud, cybersecurity, platform outages, international operations, foreign exchange exposure, acquisition integration and execution of the Martin strategy.
- Legal proceedings were described as ordinary-course matters with no individually or collectively material adverse effect identified by management. Management and Deloitte concluded that disclosure controls and internal control over financial reporting were effective as of December 31, 2022.
