Operating margin was approximately 33.1%, versus 37.2% a year earlier; net margin was approximately 29.9%, versus 34.9%. Equipment-and-services cost was 55% of that revenue, compared with 47% a year earlier, reflecting lower QCT gross margin. The filing attributes the prior-year cash-flow comparison largely to a $1.5 billion tax payment in Q1 FY2011, as well as higher current-period net income.

Revenue and segment developments

  • Equipment and services revenue was $3.167 billion, up from $2.213 billion, primarily from higher QCT revenue. Licensing revenue was $1.514 billion, up from $1.135 billion.
  • QCT revenue rose to $3.085 billion from $2.116 billion. QUALCOMM shipped approximately 156 million MSM integrated circuits, up 32% from 118 million. QCT earnings before taxes increased to $739 million from $640 million, but operating margin fell to 24% from 30% due mainly to lower gross margin.
  • QTL revenue increased to $1.440 billion from $1.057 billion; earnings before taxes rose to $1.267 billion from $892 million. The filing cites increased licensee device sales, higher average royalties per unit and revenue following settlements with two licensees.
  • QWI revenue declined to $152 million from $172 million, while QSI reported a $34 million continuing-operations pretax loss, compared with $21 million.
  • Reported licensee device sales were approximately $41.4 billion, up 22% year over year. Worldwide wireless subscriptions were estimated at 6.1 billion and 3G connections at 1.6 billion.

Cash, liquidity, debt and capital allocation

  • Cash and cash equivalents were $4.964 billion at December 25, 2011. Cash, cash equivalents and marketable securities totaled approximately $22.0 billion, up $1.1 billion from fiscal year-end.
  • Approximately $15.9 billion of those liquid resources was held by foreign subsidiaries; $14.5 billion was described as indefinitely reinvested and subject to material tax effects if repatriated. QUALCOMM said it primarily relied on domestic cash flow and domestic investments for operating liquidity.
  • India spectrum-related loans totaled $928 million, denominated in rupees and bearing a 10.25% rate at quarter-end. $142 million was due in February 2012 and $786 million in December 2012. The company intended to refinance the February maturity.
  • Operating cash flow was $1.779 billion; investing activities used $2.068 billion, including $359 million of capital expenditures and $300 million for acquisitions and other investments. Financing activities used $191 million, including $362 million of dividends paid and $99 million of share repurchases.
  • QUALCOMM repurchased 2.046 million shares for $99 million and announced a quarterly dividend of $0.215 per share, payable March 23, 2012. The filing gives approximately $948 million remaining under the repurchase authorization net of put options; its repurchase table reports a different gross remaining amount before accounting for the put options.

Outlook, unusual items and risks

  • Management expected continued growth in demand for 3G and 3G/4G devices, including smartphones, tablets and lower-priced devices in emerging markets, and continued expansion of 3G networks. It also expected ongoing investment in wireless technologies, products and services. The filing does not provide a clear numerical revenue or earnings guidance range.
  • After quarter-end, on December 27, 2011, QUALCOMM completed the sale of substantially all of its 700 MHz spectrum for $1.9 billion. It expected to recognize a $1.2 billion gain in discontinued operations in Q2 FY2012; this was not included in Q1 results.
  • India BWA spectrum licensing remained unresolved. The company said it could lose the license or spectrum assignment and potentially not recover its spectrum payment. Lenders had granted conditional waivers related to the license dispute until at least April 1, 2012.
  • Legal and regulatory matters included patent disputes, competition inquiries and a newly disclosed preliminary DOJ investigation concerning Foreign Corrupt Practices Act compliance; the SEC was also inquiring. The company said it believed it was compliant and would cooperate. It recorded no accrual for the described legal contingencies, saying loss was not considered probable and a possible loss range could not be reasonably estimated.
  • FLO TV exit activities were expected to be substantially complete by fiscal year-end 2012. Estimated future restructuring charges were up to $20 million, with expected future cash expenditures of $70 million to $110 million.
  • Management highlighted risks including dependence on wireless deployments and key customers/licensees, chipset competition and pricing, third-party manufacturing capacity, intellectual-property and licensing challenges, foreign currency exposure, and execution and impairment risks related to acquisitions and the QMT display business.
  • Capital spending was expected to be higher in FY2012 than FY2011, including more than $600 million for a Taiwan manufacturing facility. Purchase obligations for the remainder of FY2012 were approximately $2.1 billion.

Most important facts for investors to verify

  • Whether QCT can sustain shipment and revenue growth while recovering gross and operating margins.
  • Whether QTL royalty growth and licensing economics continue amid disputes, regulatory scrutiny and evolving wireless standards.
  • Resolution of the India spectrum licensing dispute, the February and December 2012 loan maturities, and the status of lender waivers and refinancing.
  • Completion accounting for the 700 MHz spectrum sale and the expected $1.2 billion Q2 gain, including its discontinued-operations presentation.
  • Developments in the DOJ/SEC inquiries, patent litigation and other contingencies; the filing provides no estimable loss range for the specified legal matters.
  • Availability and practical use of foreign-held liquidity, capital spending plans, and the difference between the reported gross and net remaining share-repurchase authorization.
