Quantum Corporation — Form 10-Q Summary

Reporting period: Three months ended June 30, 2020 (the first quarter of Quantum’s fiscal year ending March 31, 2021). The filing was signed August 5, 2020. Unless otherwise noted, financial figures below are in millions of dollars.

Business context and financial results

Quantum provides storage and data-management products and services, including systems for video and other unstructured data, tape storage, and related support. It reports one operating segment.

Revenue fell 31% year over year. Product revenue declined 40% to $39.7 million; service revenue fell 9% to $30.4 million; and royalty revenue declined 50% to $3.2 million. Secondary storage systems were a major contributor to the product decline, down $19.2 million, primarily due to fluctuating hyperscale customer purchasing cycles. Primary storage weakness was attributed partly to COVID-related declines in media and entertainment. Gross margin decreased 130 basis points. Net loss per share was $0.27, compared with $0.11.

Operating expenses decreased 20% to $34.3 million, including lower sales and marketing and general and administrative costs, partly offset by higher research and development spending and $1.1 million in restructuring charges. The company reported $6.4 million of interest expense. Adjusted EBITDA and adjusted net loss are non-GAAP measures; adjusted net loss was $6.8 million, versus adjusted net income of $5.4 million a year earlier.

Liquidity, debt, and cash flow

At June 30, cash and cash equivalents were $23.3 million, versus $6.4 million at March 31; an additional $5.8 million was restricted. Current assets were $133.3 million and current liabilities $134.2 million. Operating activities used $9.0 million of cash, while financing activities provided $26.3 million; cash, cash equivalents, and restricted cash increased $16.8 million during the quarter.

Reported long-term debt, net of debt issuance costs and current portion, was $169.7 million. The company had $185.2 million principal outstanding under its senior secured term loan and a $10.0 million PPP loan. The term loan’s stated interest rate was 12.0%; the PNC facility rate was 7.8%. PNC borrowing-base availability was $25.4 million at quarter-end.

June amendments provided a further $20.0 million term-loan draw, deferred scheduled term-loan amortization through 2020 to maturity, and waived specified financial covenants through March 2021. They also imposed minimum monthly average undrawn PNC availability of $7.0 million through May 2021. The PNC facility retains a $5.0 million minimum qualified-cash requirement; additional liquidity covenants begin in fiscal 2022. The amendments included lender warrants for 3.4 million shares at $3.00 per share, subject to adjustment, and an exit fee on specified repayments.

Material changes, outlook, and risks

  • COVID-19: Management said customer demand had weakened as media production and sports were disrupted and some businesses paused IT spending. Logistics constraints caused delays, mis-shipments, and higher expedite costs; management anticipated possible product-availability effects in coming months. It expected COVID-19 to significantly affect financial condition, results, and liquidity through at least the second fiscal quarter and likely longer. No numerical financial guidance was provided.
  • Financing and dilution: The company borrowed $20.0 million under the amended term loan and $10.0 million through the PPP. It intends to seek PPP forgiveness but cannot assure partial or full forgiveness. The term-loan warrants and registration rights may dilute existing shareholders.
  • Restructuring: A workforce reduction was initiated to improve operational efficiency and rationalize costs, resulting in approximately $1.0 million of severance and benefits expense.
  • Contingencies: A Starboard lawsuit filed July 14, 2020 alleges historical misrepresentation and other claims and seeks unspecified damages and other relief. The company said it could not estimate the range of possible outcomes. A separate patent case remained stayed pending appeal; the company described the likelihood of a material adverse effect as remote.
  • Other obligations: Non-cancelable inventory purchase commitments were $19.2 million. The company reported $109.1 million of unrecognized tax benefits, including interest and penalties; approximately $9.2 million could potentially be recognized within 12 months.

Management reported disclosure controls and procedures were effective at the reasonable-assurance level and that no material change in internal control over financial reporting occurred during the quarter.
