Financial position and cash flows
At September 30, 2015, cash and cash equivalents were $60.7 million, accounts receivable were $45.9 million, and total assets were $197.2 million. Current assets were $112.7 million and current liabilities were $45.9 million. Total liabilities were $66.5 million and stockholders’ equity was $130.7 million.
Debt totaled $15.0 million on the revolving facility, plus a $49,000 current acquisition-related note. The company had a $25 million revolving facility, with $15 million drawn, secured by substantially all assets and maturing June 2017. It reported compliance with its debt covenants. The term loan was repaid and terminated in June 2015.
Operating cash flow of $3.2 million included a $5.5 million cash benefit from reduced prepaid expenses and other assets, primarily related to receipt of a federal tax refund. Investing activities used $1.7 million, including $1.3 million of internal software development costs and $0.5 million of capital expenditures. Financing activities used $1.3 million, primarily for taxes on restricted-stock net settlements. Cash increased $0.2 million during the quarter.
Changes, outlook and risks
- Revenue growth reflected increases in financial services and education, partly offset by a decline in other verticals. Management attributed growth to strategic partnerships, enhanced products and broader education markets; traditional education lead revenue declined.
- Gross margin improved, partly because amortization of acquired intangibles declined by $1.3 million. Higher media costs, up $3.9 million, reflected increased volumes and investment in partnerships and pressured margins.
- Operating expenses fell 8% to $12.1 million, with decreases in product development and general and administrative expenses. Management said it expects these expense categories to increase in absolute dollars as it pursues growth and profitability.
- Interest expense declined substantially year over year following debt reductions. The prior-year quarter included $2.4 million of domain-sale gains; the current quarter reported a $57,000 net other expense. A $0.4 million tax provision in the current quarter was primarily related to an ongoing state tax examination; the company maintains a valuation allowance against most deferred tax assets.
- Management expects most revenue for the remainder of fiscal 2016 to continue coming from financial services and education. It identified seasonal weakness in the December quarter and stated that existing cash, operating cash generation and available revolver capacity should meet anticipated requirements for at least 12 months. No specific revenue or earnings guidance was provided.
- Key risks include dependence on quality and affordable media, search-engine changes, competition, client spending, and regulation affecting financial-services and for-profit education clients. Other identified risks include privacy and cybersecurity, third-party publisher conduct, seasonality, and potential goodwill or intangible-asset impairment.
- The company disclosed ordinary-course legal matters with indeterminate damages and said it did not believe pending or threatened matters were reasonably likely to have a material adverse effect, while noting outcomes are uncertain. It also has operating-lease commitments of $11.2 million and a $2.5 million investment in an unconsolidated variable-interest entity, representing its maximum exposure to loss in that entity.
Important facts for investors to verify
- Whether operating cash flow is sustainable: the quarter’s positive cash flow was materially supported by a federal tax refund and working-capital movements.
- Whether media and partnership investments can sustain revenue growth without further pressure on gross margin.
- Exposure to regulatory developments and client budget changes in education and financial services, including the impact of for-profit education rules.
- Revolver availability and covenant headroom: the filing reports compliance, but the facility is borrowing-base- and covenant-dependent.
- Future tax exposure from the ongoing state examination and the recoverability of deferred tax assets.
