Quarterly revenue rose 44.5%, mainly on content gains at Qorvo’s largest end customer and stronger demand for advanced cellular products for mass-market smartphones. Gross margin was unchanged year over year: better factory utilization and lower inventory charges were offset by the foundry agreement termination fee and average selling-price erosion. The operating loss included a $173.4 million goodwill impairment charge in the quarter. Nine-month revenue fell 3.7%, gross margin declined 1.2 percentage points, and operating income fell 83.4% year over year.
Segments and business drivers
- Advanced Cellular Group (ACG): Quarterly revenue increased 72.2% to $846.1 million; operating income rose to $263.8 million. Content gains and improved smartphone demand contributed. Nine-month revenue increased 8.1% to $2,108.3 million.
- High Performance Analog (HPA): Quarterly revenue declined 23.3% to $118.9 million, with operating income of $1.6 million. Weakness reflected channel-inventory reduction and demand in cellular infrastructure, broadband and power-management markets; defense and aerospace demand partly offset it.
- Connectivity and Sensors Group (CSG): Quarterly revenue increased 12.5% to $108.9 million as Wi-Fi shipments and demand improved; operating loss narrowed to $25.6 million. Nine-month revenue declined 20.6%, and its operating loss widened to $73.5 million. Management cited weaker first-half demand and impairment triggers tied to slower adoption of one new technology and lower attach rates for another.
Liquidity, debt and capital allocation
- Cash and cash equivalents were $1.072 billion at December 30, 2023; working capital was approximately $1.148 billion. Cash, cash equivalents and restricted cash totaled $1.092 billion.
- Total debt was $2.030 billion, including $479.964 million classified as current, principally the 1.750% notes due December 2024. The company repurchased $18.7 million principal amount of those notes during the quarter.
- The company reported no revolving-facility borrowings and was in compliance with credit-agreement covenants. The $300 million revolver remains available, subject to its terms. The leverage-ratio ceiling is 3.50:1 through the quarter ending March 30, 2024, then returns to 3.00:1.
- Nine-month share repurchases totaled approximately $302.0 million for 3.1 million shares; $1.405 billion remained authorized. Management said existing cash, operating cash flow and the revolver were expected to meet short- and long-term needs, while noting that a significant demand decline or faster-than-expected growth could strain operating cash generation.
- Nine-month operating cash flow declined from $777.8 million to $630.8 million, primarily due to lower profitability. Investing cash use was $23.3 million, including $47.4 million of proceeds primarily from the sale of a BAW manufacturing facility. Financing cash use was $327.9 million, primarily reflecting repurchases.
Material changes, outlook and notable items
- Qorvo terminated its long-term wafer capacity reservation agreement effective December 31, 2023. A $65 million termination fee was recorded in third-quarter cost of goods sold and other current liabilities; payment was expected in the fourth quarter of fiscal 2024.
- Goodwill impairment charges totaled $221.4 million for the nine months, including $48.0 million in the second quarter and $173.4 million in the third quarter, in CSG. The charges followed revisions to long-term forecasts.
- Qorvo entered a definitive agreement to sell its Beijing and Dezhou assembly and test facilities to a global contract manufacturer. Closing was expected in the first half of calendar 2024, subject to approvals and other conditions; a long-term supply agreement would provide services after closing. Additional restructuring-related charges were expected. The company also reversed its assertion that foreign-subsidiary earnings were permanently reinvested, recording $28.2 million of discrete tax expense.
- Tax expense was $83.1 million for the quarter despite a pretax loss of $43.8 million. Management attributed the effective tax rate and discrete tax items to factors including foreign operations, GILTI, non-deductible goodwill impairment, the facility sale, the capacity-agreement termination and foreign-currency gains. The filing reports no clear recurring tax-rate outlook.
- On January 22, 2024, Qorvo agreed to acquire Anokiwave for cash on hand; completion was expected in the fourth quarter of fiscal 2024, subject to customary conditions.
- No numerical revenue, margin or earnings guidance is provided in the supplied filing text. Management described channel inventories as improved in certain markets and smartphone and Wi-Fi shipments as more aligned with end-market demand, while noting macroeconomic, pricing and market-adoption pressures.
Risks and contingencies
Management identifies risks including dependence on major customers and successful new-product launches, demand and channel-inventory volatility, competition and selling-price erosion, manufacturing utilization and supplier dependence, debt-service and covenant constraints, international operations and trade restrictions, tax uncertainty, and execution of acquisitions and restructuring. The company reported ordinary-course legal matters and said reasonably possible losses beyond accrued amounts were not material. It had approximately $104.6 million of capital commitments, primarily for product capability, equipment and facility upgrades, and cost-saving initiatives.
Investor facts to verify
- Whether the expected improvement in channel inventories and smartphone demand persists, particularly given reliance on the largest end customer.
- The CSG technologies’ adoption and attach rates, and whether further goodwill impairment is required.
- Payment and financial-statement impact of the $65 million capacity-agreement termination fee, alongside ongoing selling-price erosion.
- Repayment or refinancing plans for the $481.3 million notes due in December 2024, and compliance with leverage covenants as limits step down.
- Regulatory approval, closing, supply terms and tax consequences of the China facility sale; closing and funding of the Anokiwave acquisition.
- Cash availability and potential tax costs of repatriating foreign-held cash; approximately $915.8 million of cash was held by foreign subsidiaries.
