Gross margin improvement reflected favorable product mix and lower restructuring charges, partly offset by higher intangible amortization and manufacturing costs. Operating expenses totaled $233.1 million, down from $239.1 million; R&D rose 9.4%, while other operating expense declined 47.4%.
- Segments: MP revenue fell 15.8% to $468.4 million, with operating income down 21.4% to $110.0 million. IDP revenue rose 45.5% to $319.0 million, and operating income rose 87.0% to $93.8 million.
- Drivers: IDP benefited from stronger 5G sub-6 GHz massive-MIMO base-station demand, mainly in Asia, and acquisitions. MP was hurt by lower Huawei shipments and weaker demand from its largest end customer, partly offset by China-related demand.
- Other income and taxes: Other income was $21.9 million versus expense of $1.1 million a year earlier; it included $15.7 million of earnings from limited-partnership investments. Income tax expense was $0.1 million, an effective rate of 0.1%, including a discrete tax benefit.
Liquidity, debt and capital allocation
At June 27, 2020, cash and cash equivalents were $1.136 billion, working capital was approximately $1.570 billion, and total assets were $6.883 billion. Cash increased from $714.9 million at March 28, 2020, primarily reflecting a $300 million issuance of 4.375% senior notes due 2029. Approximately $542.2 million of cash was held by foreign subsidiaries.
Total debt carrying value was approximately $1.876 billion, including $6.6 million current and $1.870 billion long-term. Debt included $900 million of 5.50% notes due 2026 and $850 million of 4.375% notes due 2029. The company made $1.3 million of term-loan principal payments and had no borrowings under its revolving facility during the quarter; it reported compliance with credit-facility covenants. Operating cash flow was lower year over year, primarily due to working-capital movements, partly offset by higher profitability.
Qorvo repurchased approximately 0.7 million shares for $75.0 million; $690.9 million remained authorized. Capital commitments were approximately $69.0 million. Management stated it believed existing cash, operating cash flow and credit-facility resources were sufficient for short- and long-term requirements, while noting that future needs depend on business conditions and demand.
Outlook, risks and unusual items
- The filing gives no quantitative revenue or earnings guidance. Management said the quarter was not materially affected by COVID-19 but could not estimate its longer-term effects, including on supply chains, results or cash flow.
- Management identified risks including COVID-19-related disruption, customer concentration, Huawei export restrictions, trade-policy changes, manufacturing and supply-chain disruptions, product demand and execution, and the ability to service debt.
- Huawei shipments remained affected by U.S. Entity List restrictions; Qorvo had resumed certain non-EAR shipments and applied for licenses for other products subject to the rules.
- The quarter included a $300 million additional 2029-note issuance, $75.0 million of share repurchases, a $2.8 million impairment that fully impaired an equity investment, and a $9.6 million estimated contingent earn-out liability for Custom MMIC, remeasured from $5.7 million at March 28. The filing attributes changes in the earn-out fair value to other operating expense.
- Previously announced manufacturing restructuring actions had cumulative charges of $92.9 million; Qorvo expected approximately $0.4 million of additional termination and exit costs. Management did not expect pending ordinary-course legal matters to materially affect financial position or results.

- Debt levels, interest costs, foreign-held cash and the use of liquidity for repurchases, capital commitments or acquisitions.
- The drivers of the unusually low effective tax rate and the contribution of investment-related income to quarterly earnings.
