Qorvo, Inc. — FY2020 Form 10-K

Reporting period: 52-week fiscal year ended March 28, 2020. The filing also reports fiscal Q4 results; this is not a calendar-year 2019 report. Qorvo supplies RF and connectivity semiconductors through Mobile Products (MP) and Infrastructure and Defense Products (IDP).

Key financial results

MetricFY2020FY2019
Revenue$3.239 billion$3.090 billion
Gross profit / margin$1.322 billion / 40.8%$1.195 billion / 38.7%
Operating income / margin$423.2 million / 13.1%$216.5 million / 7.0%
Net income$334.3 million$133.1 million
Diluted EPS$2.80$1.05
Cash from operations$945.6 million$810.4 million
Capital expenditures$164.1 million$220.9 million

Revenue rose 4.8%. Management attributed the increase mainly to higher mobile-product demand from customers in China, a Korea-based customer, and Qorvo’s largest end customer. Gross-margin improvement reflected favorable product mix, lower intangible amortization, and lower manufacturing costs, partly offset by price erosion and lower factory utilization. Operating results also benefited from lower SG&A, principally lower intangible amortization.

Cash and cash equivalents were $714.9 million and working capital was $1.151 billion at year-end. Total reported debt, including current maturities, was approximately $1.574 billion; the company also had a $300 million revolving facility with no fiscal-year borrowings. Operating cash flow less capital expenditures was approximately $781.5 million. The company said it believed available cash, operating cash flow, and credit availability were sufficient for short- and long-term requirements, while noting COVID-19’s longer-term effects were not estimable.

Segments and material changes

  • MP: Revenue increased 9.1% to $2.398 billion; segment operating income rose 28.0% to $715.5 million. Apple-related sales through contract manufacturers were 33% of total revenue, versus 32% in FY2019.
  • IDP: Revenue declined 5.7% to $841.4 million; segment operating income fell 45.6% to $145.3 million. Management cited weaker base-station demand associated with trade restrictions, lower Wi-Fi demand, lower utilization, inventory charges, and price erosion. Active-Semi added programmable power-management sales and costs.
  • Apple and Huawei together represented approximately 43% of FY2020 revenue, down from 47% in FY2019. Huawei represented 10%, versus 15% a year earlier; shipments remained affected by U.S. export restrictions.
  • Investing cash outflow was $1.106 billion, primarily reflecting $946.0 million spent on four acquisitions: Active-Semi, Cavendish, Custom MMIC, and Decawave. Acquisition and integration expenses were significant. A $43.0 million Cavendish remeasurement gain and an $18.3 million investment impairment were recorded.
  • Qorvo issued $550 million of 4.375% notes due 2029 and drew $100 million on its term loan. It repurchased 6.4 million shares for approximately $515.1 million; $765.9 million remained under its authorization at year-end.

Outlook, risks, and unusual items

The filing provides no specific revenue or earnings guidance. Management described COVID-19 effects in Q4 as modest at that time, but warned that the outbreak could disrupt operations, suppliers, customers, demand, and financing conditions; the ultimate impact was highly uncertain. The filing notes isolated supply-chain issues and says operations were not then materially affected.

  • Customer and market concentration, short product cycles, design-win uncertainty, and customer order cancellations could make results volatile.
  • U.S.–China trade measures and Huawei export controls pose risks to sales and supply chains. Huawei accounted for 10% of FY2020 revenue.
  • Manufacturing utilization, yields, component availability, inventory forecasts, and fixed facility costs affect margins. Fiscal 2020 restructuring charges totaled $47.9 million; management expected approximately $1.0 million of additional charges from the cited actions.
  • Debt obligations and covenants constrain financial flexibility. The company reported compliance with credit-facility covenants at year-end. Contractual obligations totaled $2.641 billion, including debt payments, leases, purchase obligations, and capital commitments.
  • Income tax expense was $60.8 million, with a 15.4% effective rate, compared with a $41.3 million tax benefit in FY2019. The prior-year result included tax benefits and unusual debt-extinguishment losses; FY2020 included tax effects from changing the permanent-reinvestment assertion and other tax items. Unrecognized tax benefits and accrued interest and penalties were disclosed as uncertain obligations.
  • Management said ordinary-course legal proceedings were not expected to materially affect consolidated financial position or results. The auditor issued unqualified opinions on the financial statements and internal control over financial reporting.

Investor verification priorities

  • Confirm the trajectory of COVID-19-related customer demand, supplier continuity, and manufacturing utilization after the filing date.
  • Track Huawei restrictions and customer concentration, particularly Apple-related revenue and any replacement demand.
  • Assess whether IDP margins can recover and whether MP growth and FY2020 gross-margin gains are sustainable amid pricing pressure.
  • Review acquisition integration, expected returns, and the assumptions underlying acquired technology and customer-relationship valuations.
  • Monitor debt service, covenant headroom, cash deployment, and the pace of share repurchases relative to acquisition and capital needs.
  • Check subsequent developments in tax examinations, unrecognized tax benefits, and the remaining restructuring actions and charges.
