At year-end, cash and cash equivalents were $9.0 million, available-for-sale investments were $2.0 million, working capital was $12.1 million, and stockholders’ equity was $21.3 million. The company reported an accumulated deficit of $397.2 million. The term loan’s carrying amount was $8.3 million, net of issuance costs and other adjustments; operating and finance lease liabilities totaled approximately $4.9 million.
FY2023 revenue rose 14.8%. Management attributed the increase mainly to the DaVita contract changes and higher pricing, reacquired distribution rights, the Evoqua asset acquisition, and new customers. Gross margin improved, while research and development and general and administrative expenses declined. Interest expense was $2.3 million, compared with $1.9 million in 2022.
Material developments and unusual items
- Evoqua acquisition: Completed July 10, 2023, for $17.4 million total consideration: $12.4 million paid at closing and two deferred payments of $2.5 million each. The acquired customer relationships were valued at $11.0 million and are amortized over 20 years.
- DaVita agreement: Amended in September 2023 to increase pricing effective September 1 and provide a one-time $0.4 million payment. The agreement expires December 31, 2024; DaVita may extend it through 2025. DaVita represented 47% of 2023 concentrate sales.
- Other commercial agreements: Rockwell signed multiple multiyear purchase or supply agreements and a three-year co-promotion agreement with B. Braun.
- Triferic: The company discontinued its U.S. Triferic and Triferic AVNU applications in 2022. In 2023, its China partner reported that the trial did not achieve its main efficacy results and would not proceed to registration. Rockwell recognized $2.1 million of deferred license revenue and reserved $1.1 million of related long-term inventory. The filing says the U.S. discontinuation was not for safety reasons.
- Equity financing and dilution: Armistice exercised a warrant in July 2023, generating approximately $13.8 million gross proceeds. Common shares outstanding increased from 12.2 million at year-end 2022 to 29.1 million at year-end 2023.
- Prior-period EPS correction: The company recalculated 2022 loss per share to include pre-funded warrants in weighted-average shares, changing reported loss per share from $(1.89) to $(1.31). Management said the effect on previously issued financial statements was not material.
Outlook, risks, and contingencies
Management believes available working capital and planned operating actions should fund operations for at least 12 months from the filing date. This expectation depends on executing planned price increases, winning customers, improving margins, and controlling costs. Management also identified potential use of approximately $11 million remaining under its at-the-market facility or other financing, subject to restrictions. No specific revenue or earnings guidance was provided.
On January 2, 2024, Rockwell amended and restated its Innovatus loan agreement: the approximately $8.0 million principal received an interest-only period of 30 months, potentially 36 months if conditions are met, and maturity was extended to January 1, 2029. The facility is secured by substantially all company and transportation subsidiary assets and includes revenue and minimum-liquidity covenants. The company reported covenant compliance at December 31, 2023.
- Liquidity remains a key risk: operating cash outflow was $9.4 million, and management warns that additional capital may be needed beyond its estimated 12-month runway.
- DaVita’s agreement is due to expire in 2024 and DaVita accounts for nearly half of concentrate sales; loss of the customer could materially affect results.
- The acquired Evoqua product line depends on a single contract manufacturer whose agreement expires at the end of 2024. Rockwell plans to transfer production to its own facility by year-end 2024, which it expects could reduce costs.
- Inflation in raw materials, labor, and transportation, variable sales volumes, competition, supply interruptions, and reimbursement pressure could weigh on margins and operations.
- The filing describes routine legal proceedings and says their resolution is not expected to materially affect operations or financial statements. A 2023 FDA inspection resulted in one observation; the company reports it completed corrective actions.
- A phishing-related business email compromise was identified in the fourth quarter of 2023; the company does not believe it had a material adverse effect.
Most important facts for investors to verify
- Whether Rockwell can generate positive operating cash flow and sustain the stated liquidity runway without materially dilutive financing.
- DaVita renewal or extension terms, purchasing volumes, and the financial impact if the agreement is not renewed after 2024.
- Progress, cost, and continuity of the planned Evoqua production transfer, including whether the single-source manufacturing arrangement is extended or replaced.
- Actual margin improvement after contract repricing and acquisition integration, and the extent to which 2023 revenue included nonrecurring deferred-license revenue.
- Compliance with Innovatus revenue and liquidity covenants under the amended loan, including the effect of interest and any prepayment fees.
- Potential dilution from outstanding warrants, options, convertible preferred stock, and future ATM or other equity issuance.
