SCYNEXIS INC annual report, FY2023

SCYNEXIS, Inc. — 2023 Form 10-K Summary

Business context and reporting period. This annual report covers the fiscal year ended December 31, 2023; it does not provide standalone fourth-quarter financial results. SCYNEXIS is a clinical-stage antifungal company. Its lead asset, ibrexafungerp, is marketed as BREXAFEMME for vulvovaginal candidiasis and recurrent VVC, while SCY-247 remains preclinical. GSK holds exclusive development and commercialization rights to ibrexafungerp in most territories; SCYNEXIS retains specified territories licensed to others.

Financial performance and liquidity

Metric20232022
Total revenue$140.1 million$5.1 million
Product revenue, net$1.0 million$5.0 million
License agreement revenue$139.1 million$0.1 million
Operating expenses$67.5 million$90.8 million
Operating income (loss)$72.7 million$(85.8) million
Net income (loss)$67.0 million$(62.8) million
Net income (loss) per share, diluted$1.39$(1.47)
Net cash from (used in) operating activities$60.2 million$(79.9) million
  • 2023 license revenue included $130.1 million recognized upon transfer of the GSK license, $4.4 million related to the December Binding MOU, and revenue for ongoing development services. The reported profit therefore chiefly reflects license accounting and should not be read as evidence of recurring product profitability.
  • Product revenue fell 79.1%. Product cost was $15.6 million, including a $14.6 million inventory impairment following the recall; product cost exceeded product revenue. The filing does not provide a meaningful normalized product gross margin.
  • Research and development expense rose 13.5% to $30.9 million. Selling, general and administrative expense fell 66.8% to $20.9 million, mainly because BREXAFEMME promotion ceased and the company reduced its commercial workforce.
  • Cash, cash equivalents and investments totaled $98.0 million at year-end 2023, compared with $73.5 million a year earlier. Cash and cash equivalents alone were $34.1 million; the balance included short- and longer-term investments.
  • Operating cash flow benefited from the $90.0 million GSK upfront payment and $25.0 million development milestone receipt. Investing activities used $34.9 million, primarily for net investment purchases; financing activities used $36.7 million, primarily to repay the Hercules/Silicon Valley Bank loan.
  • The Hercules/SVBB loan was repaid in full in May 2023. The company still has $16.0 million face amount of 6.0% senior convertible notes due March 2025; the balance sheet reports convertible debt and derivative liability together at $12.2 million. Warrant liabilities were $21.8 million.
  • Total assets were $128.4 million, total liabilities $55.5 million, and stockholders’ equity $73.0 million at December 31, 2023. Accumulated deficit was $355.2 million. Management said available capital was expected to fund operations for at least 12 months after the financial statements were issued, but also expects further losses and needs additional capital.

Material changes versus 2022

  • The GSK transaction drove the sharp increase in reported revenue and the return to GAAP net income. In June 2023, SCYNEXIS also received a $25.0 million development milestone.
  • In September 2023, BREXAFEMME was recalled and FDA placed ibrexafungerp clinical studies on hold after a potential beta-lactam cross-contamination risk was identified at a manufacturing vendor. No contamination was confirmed and no related adverse events had been reported in the filing.
  • The December 2023 Binding MOU reduced potential GSK regulatory approval milestones from up to $70 million to $49 million, commercial milestones from up to $115 million to $57.5 million, and sales milestones from up to $242.5 million to a range of up to $145.5–$179.5 million, depending on U.S. relaunch timing. Potential development milestones were revised from up to $75.5 million to $72.35 million, including $25 million already paid. Royalty rates remain in the mid-single-digit to mid-teen range.
  • SCYNEXIS issued 4.15 million common shares through exercise of pre-funded warrants during 2023; common shares issued and outstanding at year-end were 37.2 million, versus 32.7 million at 2022 year-end. Potential dilution also includes substantial outstanding warrants, options, restricted stock units and convertible notes.

Outlook, risks and unusual items

  • SCYNEXIS entered new manufacturing agreements to produce ibrexafungerp batches it believes could support resolution of the clinical hold and resumption of the Phase 3 MARIO and Phase 1 lactation studies. Restart depends on FDA resolution; timing and outcome are uncertain. The company remains responsible for costs of its ongoing ibrexafungerp studies.
  • Management expected to provide topline FURI, SCYNERGIA and VANQUISH results to GSK in the first half of 2024; CARES topline data was described as positive. SCY-247’s Phase 1 study was anticipated in the second half of 2024. These are forward-looking expectations, not reported completed milestones.
  • SCY-247 is unaffected by the ibrexafungerp hold. The filing describes promising animal-model results for mucormycosis, including higher survival with combination SCY-247 and liposomal amphotericin B; these preclinical findings do not establish human efficacy.
  • SCYNEXIS relies on third parties for manufacturing and much of its development work, and depends on GSK, Hansoh and R-Pharm for potential partnered revenue. Failure to resolve manufacturing issues, obtain approvals, achieve milestones, secure reimbursement or raise capital could materially affect operations. Management says additional capital will be needed.
  • A securities class action filed in November 2023 alleges misleading statements related to the manufacturing risk and recall. SCYNEXIS disputes the allegations and intends to defend the case; damages sought are unspecified.
  • Other notable uncertainties include clinical-trial failure or delay, product safety and resistance, competition and generic pricing, partner execution, financing and dilution, and the approaching 2025 convertible-note maturity. The company recorded a $1.9 million product-recall accrual at year-end.
  • The independent auditor issued an unqualified opinion on the financial statements. License-agreement revenue was identified as a critical audit matter because of judgments over performance obligations, transaction-price allocation and standalone selling prices. Management reported disclosure controls and internal control over financial reporting effective at December 31, 2023; the auditor was not engaged to opine on internal-control effectiveness.

Key facts investors should verify

  1. Current FDA status and practical timetable for lifting the ibrexafungerp clinical hold, restarting MARIO and the lactation study, and relaunching BREXAFEMME.
  2. Manufacturing remediation and new-batch quality evidence, including whether regulators accept the proposed controls and whether recall costs or liabilities change.
  3. Delivery and interpretation of FURI, SCYNERGIA and VANQUISH results, and the regulatory path and commercial prospects for additional indications.
  4. Actual GSK milestone eligibility and payment timing, revised sales thresholds, potential royalty reductions, and GSK’s plans for commercialization.
  5. Cash burn and runway after the reported $98.0 million of cash and investments, funding needs, and repayment or conversion plans for the $16.0 million face-value notes due in 2025.
  6. Share-count dilution from warrants, pre-funded warrants, equity awards and convertible debt, as well as the status and potential financial exposure of the securities class action.
