It also announced an agreement to acquire a University Place, Washington branch, expected to add approximately $17.7 million of deposits at a 3.35% core deposit premium, without acquiring loans. Closing was expected in Q1 2017, subject to regulatory approval and customary conditions; management projected the transaction would be accretive by year-end 2017.
- Key disclosed risks include credit quality and allowance estimation, interest-rate and real-estate-market changes, funding and deposit retention, loan-sale market conditions, regulatory actions, operating costs, cybersecurity and third-party provider risks. Management reported effective disclosure controls and no material changes in internal control over financial reporting during the quarter. It said ordinary-course legal proceedings were not expected to have a material adverse effect.
