The weighted-average effective interest rate was 5.65%. The company reported $410 million of undrawn revolver capacity at quarter-end, subject to leverage limits; the subsequent credit amendment reduced commitments, leaving $310 million on a pro forma basis. Working capital including cash was $354.6 million.

Changes and business drivers

  • Sales rose 17%, chiefly because of Sierra Wireless: IoT System sales were $134.6 million versus $50.4 million, and IoT Connected Services contributed $24.3 million versus none in the comparison quarter.
  • Legacy product areas weakened: Signal Integrity sales fell 47% to $41.6 million and Advanced Protection and Sensing sales fell 50% to $36.1 million. Infrastructure sales fell 49%; high-end consumer sales fell 55%. Industrial sales rose 125%, primarily reflecting Sierra Wireless.
  • Gross margin fell to 43.5% from 63.9%. Management cited softer demand and unfavorable product mix in Signal Integrity and IoT System, as well as approximately $10 million of additional acquired-technology amortization. Operating expenses rose 40% to $114.8 million, including acquisition-related staffing, transaction and integration expenses, amortization and restructuring.
  • Cash from operations swung to an outflow, with management citing acquisition-related transaction and integration costs, higher annual bonus payments, restructuring and increased inventory spend. Cash declined $71.3 million during the quarter.
  • The company recorded $2.1 million of restructuring charges, versus none in the prior-year quarter. The quarter also included $20.5 million of interest expense following acquisition financing.

Outlook, financing and risks

  • For Q2 FY2024, management guided to net sales of $233 million–$243 million and gross margin of 42.6%–44.8%, citing continued macroeconomic uncertainty.
  • Management said inventory increased slightly as demand weakened faster than purchasing could be adjusted, and expected some supply constraints to ease during the rest of FY2024. Raw-material and conversion costs remained subject to inflation and supply-chain pressures.
  • On June 6, 2023, after quarter-end, Semtech amended its credit agreement. The amendment relaxed specified leverage and interest-coverage limits, established a $150 million minimum-liquidity covenant through January 2025, reduced revolver commitments by $100 million, increased term-loan amortization for specified periods, raised borrowing margins during covenant relief, added restrictions and mandatory prepayment provisions, and required appointment of a financial advisor. Semtech said it was compliant with its covenants at April 30.
  • Management stated that cash, future operating cash flow and available borrowing capacity were expected to meet liquidity needs for at least 12 months. This outlook is subject to the credit facility’s covenants and borrowing limitations.
  • Legal matters include a Denso claim alleging more than $84 million of damages, for which the parties had reached a settlement in principle and were working to finalize an agreement; and a Harman claim alleging approximately $16 million, for which the company could not assess the likelihood or amount of loss. Environmental remediation had a remaining estimated probable-loss range of $1.7 million–$3.2 million; $1.7 million was accrued.
  • Key risks include acquisition integration and realization of synergies, softer end-market demand, order cancellations, supplier concentration, trade and export restrictions, foreign-exchange exposure and floating-rate debt. A 1 percentage-point increase in Term SOFR was estimated to increase annual interest expense by $4.9 million on unhedged debt. A new CEO was appointed in May, with the transition expected by June 30, 2023.
