Sohu.com Limited — FY2019 Form 20-F
Reporting period: Fiscal year ended December 31, 2019. This is an annual report, not a standalone fourth-quarter filing; the text does not provide a clear consolidated Q4 income statement or cash-flow summary. Audited financial statements use U.S. GAAP. Amounts below are U.S. dollars unless stated otherwise.
Business context
Sohu operates Chinese online media, search and online-game businesses through Sohu, controlled subsidiary Sogou, and controlled subsidiary Changyou. Its principal revenue sources are search advertising, brand advertising and online games. Sogou and Changyou had public minority shareholders at year-end; Sohu acquired the Changyou shares it did not already own in April 2020.

- Revenue rose 2%. Search and search-related advertising increased 5% to $1.073 billion (58% of revenue); online games rose 13% to $440.9 million (24%); brand advertising fell 25% to $174.9 million. Other revenue declined 7% to $156.8 million.
- Gross margin improved by one percentage point, reflecting lower video-content costs. Brand-advertising gross margin was 28%, versus 20% in 2018; search-advertising gross margin was 34%, versus 35%; online-game gross margin was 80%, versus 84%.
- Operating expenses declined 9% to $863.0 million. Continuing operations were near operating break-even, but Sohu still reported a substantial attributable loss, in part because earnings at Sogou and Changyou are shared with noncontrolling shareholders.
- Cash and cash equivalents were $305.1 million, down from $819.5 million; short-term investments increased to $1.317 billion from $1.041 billion. Restricted cash was $8.7 million. Working capital was $916.9 million. The filing states management believed resources were adequate for anticipated needs over the following 12 months, while noting that cash at Sogou and Changyou may not be readily available to Sohu.
- Year-end current assets were $2.016 billion and current liabilities $1.099 billion. Total assets were $2.690 billion and total liabilities $1.383 billion. Short-term bank loans were $114.5 million; no long-term bank loans were reported at year-end.
- Cash flow from all operating activities, including discontinued operations, was $210.6 million. Investing activities used $443.2 million and financing activities used $513.2 million. Cash, restricted cash and restricted time deposits declined by $755.8 million during the year.
Material changes and unusual items
- Search growth continued but slowed: Sogou revenue increased from $1.022 billion to $1.073 billion. Traffic-acquisition costs increased $29.5 million in 2019, and search gross margin declined one percentage point. Sogou reported 18.3% share of mobile queries in December 2019 and received approximately 35% of search traffic, measured by page views, from Tencent properties.
- Brand advertising continued to contract, led by Sohu Media Portal and Sohu Video. Sohu Video shifted away from expensive licensed programming toward lower-cost self-produced content; its operating loss narrowed 32% in 2019. Management expected further narrowing in 2020, not profitability by a stated date.
- Changyou game revenue recovered, supported by improved TLBB performance and the launch of TLBB Honor. However, TLBB and Legacy TLBB Mobile together accounted for about 17% of Sohu Group revenue. Changyou’s cinema-advertising operation ceased in August 2019 and was reported as discontinued operations; the segment recorded a $17.0 million asset impairment and a $34.0 million net loss from discontinued operations for 2019.
- Other notable charges included $34.1 million of impairment on equity investments, a $7.2 million impairment of a domain name, and $4.0 million of Sohu Video content impairment. Net other income included $41.0 million of gains from financial instruments. The filing reports $31.2 million of income-tax expense and an $181.6 million long-term tax liability, including an unrecognized U.S. tax benefit related to the TCJA and accrued interest.
- COVID-19 emerged in late 2019. Management reported that in Q1 2020 brand-advertiser spending was curtailed, game development was delayed, and Sogou traffic-acquisition costs rose significantly; Sogou also experienced higher traffic. The full-year impact was uncertain and not quantified.
- After year-end, Sohu completed the Changyou buyout on April 17, 2020 for $5.40 per Changyou Class A share, or $10.80 per Changyou ADS. A related ICBC Tokyo facility of up to $250 million was established, and $192 million was drawn on April 16, 2020. The facility is guaranteed by Sohu and initially secured by Changyou equity, with additional deposit collateral required under the agreement.
Outlook and key risks
The filing provides no formal consolidated FY2020 revenue or earnings guidance. Management described ongoing investment in mobile media products, Sogou AI and search capabilities, and Changyou game development. Principal risks include dependence on Sogou search and a small number of Changyou games; competition and rising traffic-acquisition costs; brand-advertising and video losses; PRC content, licensing and online-game regulation; the enforceability of contractual VIE arrangements; restrictions on moving cash out of China or between group entities; RMB depreciation; and COVID-related uncertainty. The company also disclosed that it may have been a passive foreign investment company (PFIC) for the 2019 U.S. tax year.
Investor verification priorities
- Reconcile consolidated cash and short-term investments with the amounts held by Sohu, Sogou, Changyou and PRC entities, and assess practical restrictions on access and remittance.
- Review the April 2020 Changyou acquisition financing, drawdown, collateral requirements and subsequent debt balances; year-end bank debt alone does not capture this later transaction.
- Test the durability and margins of Sogou search growth, including Tencent traffic dependence and traffic-acquisition costs, and track TLBB and Legacy TLBB Mobile concentration and decline risk.
- Separate recurring operating performance from investment gains, impairments, discontinued operations and tax-related items; verify the status of the $181.6 million long-term tax liability and the uncertain TCJA position.
- Monitor Q1 2020 and later COVID-19 effects, formal guidance, VIE-related regulatory developments, and any changes to the company’s disclosed PFIC status.
