Q1 revenue comprised $1.847 million from Zembrace and $0.635 million from Tosymra. The products were acquired after the prior-year comparison period, so the year-over-year revenue comparison is not like-for-like.
The net loss included a $7.005 million gain from the change in fair value of warrant liabilities, a noncash item. The liabilities were reclassified to equity after stockholder approval to increase authorized shares. Loss per share comparisons are also affected by the substantial change in weighted-average shares, including financing and warrant exercises.
At March 31, cash and cash equivalents were $7.049 million ($7.951 million including restricted cash), down from $24.948 million in cash and cash equivalents at December 31, 2023. Working capital was $9.6 million. Total assets were $135.343 million and total liabilities were $27.200 million. Term-loan principal was $10.765 million; the loan carries interest at the greater of prime plus 3.5% or 12%, is secured by company facilities and certain accounts, and matures in December 2026. Reported current and long-term term-loan balances, net of discounts and costs, totaled approximately $8.978 million.
Material changes versus the prior comparable period
- Revenue began after the June 2023 acquisition of Zembrace and Tosymra. The acquired products generated $2.5 million of Q1 2024 revenue.
- R&D expense fell 51% to $12.9 million, mainly due to reduced clinical, nonclinical, manufacturing and internal spending, which the company attributed to fewer trials and pipeline prioritization.
- G&A expense rose 26% to $9.3 million, primarily reflecting financial reporting and shareholder-meeting costs, sales and marketing, and transition-service fees.
- Operating cash use declined to $17.6 million from $32.9 million. Investing cash use declined to $0.1 million from $3.8 million, largely as facility construction spending tapered.
- Common shares issued and outstanding increased to 73.7 million at quarter-end from 58.6 million at year-end 2023. The company reported 95.5 million shares outstanding as of May 13, 2024.
Outlook, risks and unusual items
Management stated that cash at March 31 and proceeds from subsequent equity offerings would not fund operating and capital requirements through Q2 2024. The filing says the company will not have sufficient resources for operating requirements for the one-year period from filing, and identifies substantial doubt about its ability to continue as a going concern. Additional financing or strategic collaborations are needed; failure to obtain funding could require reduced or delayed research and development or other operations and could ultimately threaten continued operations.
On April 1, 2024, the company closed an offering that generated approximately $3.9 million in net proceeds (approximately $4.4 million gross, as described in the going-concern disclosure). The offering included common shares, pre-funded warrants and Series E warrants. These proceeds did not resolve management’s stated funding shortfall. Further equity issuance could materially dilute existing stockholders. The company also amended certain existing warrants, subject to stockholder approval and other terms.
Management’s priority is to submit a Tonmya NDA in the second half of 2024; a pre-NDA meeting with the FDA was scheduled for Q2 2024. Tonmya’s trade name was conditionally accepted, but the product is not approved. TNX-1300 has Breakthrough Therapy designation. Timelines and outcomes remain uncertain and depend on regulatory review, clinical progress and financing.
The company has approximately $20.8 million of commitments for future work under contract research organization agreements. It is exploring a strategic partner or buyer for its Advanced Development Center in Massachusetts, but had no sale commitment as of March 31. The term loan is secured by the Frederick, Maryland research center, the Massachusetts development center and certain deposit accounts. Commercial risks include customer concentration, gross-to-net estimates, reimbursement and product returns; five customers each represented 14%–22% of Q1 net product revenue. The filing reported no material legal proceedings and no material changes to previously disclosed risk factors.
Important facts for investors to verify
- Whether additional financing or partnering is secured, and how long available cash supports operations after the April offering.
- Actual sales, collections, gross-to-net deductions and margins for Zembrace and Tosymra; Q1 revenue was concentrated among a small number of customers.
- Progress on the FDA pre-NDA meeting and the planned second-half 2024 Tonmya NDA submission, as well as clinical and regulatory updates for other candidates.
- Potential dilution from outstanding warrants and options: 194.3 million warrants and 9.7 million options were excluded from diluted loss per share as antidilutive at March 31.
- Nasdaq listing compliance, the outcome of the warrant-related stockholder vote, and any transaction involving the Massachusetts development center.
