Genedx Holdings Corp. quarterly report, Q2 FY2023

GeneDx Holdings Corp. — Q2 2023 Form 10-Q

Reporting period: Unaudited quarter and six months ended June 30, 2023, compared with the same periods in 2022. Amounts are in U.S. dollars; financial statement figures are generally in millions unless noted. The company completed a 1-for-33 reverse stock split on May 4, 2023, and presented share figures reflect it.

Business context

GeneDx provides genomic diagnostic and information services, with its strategic focus on pediatric and rare-disease testing, particularly whole-exome and whole-genome sequencing, and its Centrellis data platform. Following the 2022 acquisition of Legacy GeneDx, the company exited Legacy Sema4’s somatic tumor testing business and substantially exited reproductive and women’s health testing in 2022 and early 2023. Q2 2023 comparisons therefore reflect both business exits and a different contribution from the acquired GeneDx business than in the prior-year period.

Q2 diagnostic test revenue was $46.6 million, up 37% year over year; other revenue was $2.1 million. For the first half, diagnostic test revenue was $88.5 million, up 2%, while other revenue was $3.4 million. The filing attributes Q2 diagnostic growth to GeneDx revenue, increased exome and genome test volumes, and a $3.3 million partial release of a prior-period payor reserve, partly offset by discontinued Legacy Sema4 testing. First-half revenue was broadly flat as acquired GeneDx revenue and a reserve release were largely offset by the business exits.

Q2 operating expenses included research and development of $17.1 million, selling and marketing of $15.2 million, and general and administrative expense of $37.3 million. First-half figures were $31.7 million, $28.6 million, and $81.0 million, respectively. Expenses and losses improved substantially year over year, reflecting exited businesses, restructuring and lower stock-based compensation, although comparisons are affected by the acquisition and prior-year items.

Cash flow, liquidity and debt

  • Cash and cash equivalents were $156.7 million at June 30, 2023; cash, cash equivalents and restricted cash totaled $157.6 million. Cash and cash equivalents were $123.9 million at December 31, 2022.
  • For the six months, operating cash use was $109.1 million and investing cash use was $11.7 million; financing provided $140.0 million. Net cash, cash equivalents and restricted cash increased $19.3 million.
  • Financing cash flow included $143.0 million net proceeds from January and April 2023 equity offerings. The filing reports approximately $150 million of gross proceeds and approximately $150 million of securities remaining under the company’s shelf registration statement.
  • Long-term debt was $6.25 million, with no current portion reported. The $125 million revolving credit facility was undrawn at June 30, 2023. The company reported compliance with its covenants. The DECD loan amendment generated $2.75 million of debt forgiveness during the first half.
  • Lease liabilities totaled $69.1 million. Future minimum operating and finance lease payments were $70.3 million and $33.2 million, respectively, before imputed interest.
  • Current assets were $213.3 million and current liabilities were $84.4 million. Management stated existing cash was expected to fund operations for at least 12 months from the filing date.

Material changes, outlook and risks

  • Strategic realignment: The company consolidated go-forward testing in its Gaithersburg, Maryland laboratory and eliminated approximately 500 positions associated with the reproductive and women’s health exit. Combined with earlier workforce reductions, approximately 32.5% of the workforce at the time of the restructuring announcements was eliminated. Management cautioned that additional costs could arise and anticipated benefits may not be fully realized.
  • Volume and segment mix: The company reported 107,706 tests resulted in the first half of 2023, versus approximately 276,171 in the first half of 2022; the decline primarily reflects discontinued Legacy Sema4 testing. Q2 segment revenue was $45.2 million for GeneDx and $3.5 million for Legacy Sema4 diagnostics.
  • Acquisition milestone: The first $112.5 million Legacy GeneDx revenue milestone was paid in April 2023 through issuance of 701,460 shares. A further payment of up to $37.5 million may be due based on 2023 Legacy GeneDx revenue, with partial payment possible beginning at 90% of the target. The company estimated its fair value at $1.0 million at quarter-end.
  • Payor exposure: A $42 million settlement with a third-party payor covers disputed Legacy Sema4 claims; the first $15 million installment was paid, and $5 million is due in December 2023, with the final installment scheduled by June 30, 2026. The company reported $34.7 million of liabilities for refunds and potential payor settlements at June 30, 2023. Further audits, recoupments or reimbursement changes could affect revenue and cash flow.
  • Other unusual items: First-half results included a $2.1 million impairment charge, a $2.6 million obsolete-inventory provision, a $3.0 million gain on asset sales and $2.75 million of DECD loan forgiveness. The Q2 income statement also benefited from a $3.5 million fair-value gain on warrant and earn-out liabilities; such remeasurement can make reported results volatile.
  • Controls and legal matters: Disclosure controls were deemed ineffective at June 30, 2023 because previously identified material weaknesses in internal control over financial reporting had not been fully remediated. The company reported a shareholder securities class action and a separate Delaware action involving former CMLS directors; it says it believes the allegations are without merit. The filing does not provide a clear estimate of possible loss for these cases.
  • Outlook: No specific revenue, margin or profitability guidance is provided in the filing. Management expects continued losses and identifies reimbursement, test adoption, cost reduction, competition, supplier dependence, data and privacy regulation, cybersecurity, laboratory regulation and access to additional capital as important risks. Management states cash should cover at least the next 12 months, but future funding may be needed.

Investor verification priorities

  • Confirm the sustainability and underlying drivers of GeneDx test-volume and revenue growth, including the effect of the $3.3 million payor reserve release and the business exits.
  • Track operating cash burn against the stated 12-month liquidity outlook, available shelf capacity, and any subsequent financing or dilution.
  • Verify the 2023 GeneDx milestone outcome and the resulting cash or share settlement to OPKO.
  • Review payor settlement payments, the adequacy of reserves for other recoupments, and reimbursement and audit developments.
  • Monitor restructuring savings and costs, lease termination decisions, and the company’s progress remediating its material weaknesses in financial controls.
