General and administrative expense$21.0 million$17.6 million
Operating loss$59.9 million$51.7 million

The $3.0 million license revenue was a milestone payment under the Abbisko agreement, not product sales. Gross profit and product margins are not applicable because X4 had no product sales. Cash and cash equivalents were $78.7 million at year-end, with an additional $2.0 million of restricted cash. Total assets were $122.9 million and stockholders’ equity was $72.8 million. Hercules debt had $32.5 million principal outstanding and a $33.2 million reported carrying value, including accretion and end-of-term amounts.

Material changes versus the prior year

  • Net loss increased by $9.3 million; operating expenses rose by $11.2 million, primarily from higher clinical-trial, personnel and stock-based compensation costs. The 2019 comparison included a $3.9 million loss on transfer of acquired research assets, absent in 2020.
  • Operating cash use increased by $10.8 million. Year-end cash and cash equivalents declined by $47.5 million from 2019; 2019 cash flows had included substantial equity proceeds and cash acquired in the Arsanis merger.
  • Hercules borrowings increased from $20.0 million principal at year-end 2019 to $32.5 million at year-end 2020. The loan amendment extended interest-only payments through January 2023 and maturity to July 2024.
  • Shares issued and outstanding increased modestly to 16.3 million at year-end. The company authorized additional common shares and entered into an ATM facility and an Aspire Capital purchase agreement, neither of which had generated sales by year-end.

Outlook, commentary, risks and unusual items

  • Management expected top-line Phase 3 WHIM data in 2022, initial Waldenström’s trial data in the first half of 2021, and initial SCN data in 2021 if enrollment progressed sufficiently.
  • COVID-19 had delayed site activation and patient enrollment, especially in the SCN trial, and could further disrupt trials, supply chains, regulatory interactions and access to capital.
  • Management estimated existing cash would fund operations into the first quarter of 2022, but the auditor and management reported substantial doubt about the company’s ability to continue as a going concern for the year following issuance of the financial statements. Additional capital was needed; failure to obtain it could force program reductions or threaten continued operations.
  • After year-end, X4 agreed to a private placement expected to generate approximately $55 million gross. It also was negotiating a non-binding co-development arrangement that could provide up to $65 million; it was not finalized, and the filing did not count either expected funding source in its going-concern assessment.
  • The Hercules loan includes a minimum-cash covenant beginning as early as January 2022, subject to extensions and milestone-based changes. A covenant breach could trigger repayment. The loan is secured by substantially all assets other than intellectual property, although certain proceeds related to IP are included as collateral.
  • X4 relies on single third-party manufacturers for mavorixafor active ingredient and finished capsules and has no redundant supply source. Its ability to obtain approval and commercialize mavorixafor remains dependent on clinical results, regulatory review, manufacturing, reimbursement and further financing.
  • Prior clinical studies reported biomarker and activity signals, but these are not proof of efficacy or approval. The Phase 3 WHIM trial remained ongoing. The company reported no material legal proceedings; management assessed disclosure controls and internal control over financial reporting as effective.

Most important facts for investors to verify

  • Current cash runway, subsequent financing proceeds actually received, and whether the co-development agreement closed on acceptable terms.
  • Compliance with Hercules’ minimum-cash covenant and the loan’s repayment, collateral and end-of-term obligations.
  • Enrollment, timing and results of the 4WHIM Phase 3 trial, including whether data support an NDA and the expected 2022 timeline.
  • Whether COVID-related delays continue to affect SCN, Waldenström’s and WHIM trials, and whether mavorixafor supply remains adequate.
  • Terms and potential dilution from the 2021 private placement, pre-funded warrants, outstanding warrants and any future equity financing.
  • Abbisko development progress and the likelihood and timing of future milestone or royalty revenue; the filing does not establish that such revenue will occur.
