Revenue fell 4.6%, with recurring revenue down 4.1% to $521 million. BPaaS revenue was $117 million, up 20.6% year over year. Continuing gross margin was approximately 32.6%, versus 31.9%. The company’s non-GAAP adjusted measures exclude items including amortization, share compensation, restructuring and fair-value changes; they should not be read as GAAP earnings.

Cash and cash equivalents were $256 million at March 31, down from $324 million at year-end. Total debt, net, was $2.787 billion; the $300 million revolving facility had no borrowings, with approximately $3 million of letters of credit issued. The company reported $1.747 billion of cash, cash equivalents and restricted cash in its cash-flow reconciliation, including substantial fiduciary funds held for clients that are not available for corporate use. Operating cash flow less capital expenditures was $64 million, compared with $27 million a year earlier.

Material changes versus the prior comparable period

  • Revenue declined $27 million, reflecting lower volumes, net commercial activity and project revenue, and the wind-down of Hosted operations. Management also cited large-deal go-live timing and earlier BPaaS booking softness as expected near-term headwinds in the first half of 2024.
  • Cost of services decreased $26 million, supported by lower revenue and productivity initiatives, partly offset by investment in resources. SG&A fell $5 million, partly offset by transaction-related professional fees.
  • Continuing-operations loss widened by $37 million. The main factors were a $55 million loss from remeasurement of the tax receivable agreement (TRA), versus $8 million, and higher loss before tax; operating loss remained $40 million.
  • Operating cash flow increased $28 million, primarily due to lower net working-capital requirements. Cash used in financing fell to $74 million from $160 million, including $62 million of TRA payments, $57 million of share/unit withholding tax payments and $6 million of debt repayments.

Outlook, transaction, risks and unusual items

  • Proposed divestiture: Alight agreed to sell Payroll & Professional Services to an affiliate of H.I.G. Capital for up to $1.2 billion: $1 billion cash and up to $200 million in seller notes, including $150 million contingent on the business’s 2025 financial performance. Closing was expected by mid-2024, subject to customary conditions and regulatory approvals. The filing does not provide a clear overall full-year revenue or earnings guidance figure.
  • After closing, transition services are expected. Alight expects to use net after-tax proceeds to reduce debt, return capital and fund general corporate purposes, including growth investment. The sale could reduce revenue diversification; delay, failure to close, separation demands and transaction costs pose risks. The filing notes transaction-related professional fees are expected to continue in 2024.
  • Restructuring: The two-year Transformation Program carries estimated total pre-tax charges of $122 million; $88 million had been incurred through March 31, 2024. Management estimates annual savings of more than $75 million after completion.
  • TRA: The reported TRA liability was $873 million, including $89 million current; Alight paid $62 million in Q1 and expected approximately $89 million of payments in 2025. Payments are based on 85% of specified realized tax benefits and may be substantial.
  • The company authorized an additional $200 million of share repurchases in March, bringing reported remaining authorization to $248 million; it repurchased no shares in Q1. This authorization is not a commitment to repurchase.
  • Other notable commitments include a new $250 million cloud-services agreement over five years and substantial Wipro service obligations. Management reported no material change in market-risk exposure and stated disclosure controls were effective. Legal reserves were not significant; management did not expect ordinary-course proceedings to have a material adverse effect.

Important facts for investors to verify

  • Whether the divestiture closed on schedule and on what final terms, including adjustments, contingent seller-note value, taxes and transition-service economics.
  • Whether BPaaS growth and productivity initiatives can offset recurring-revenue pressure, lower volumes and the cited first-half timing headwinds.
  • Cash available for corporate use versus client fiduciary funds, and the company’s capacity to manage debt, the June 2025 notes maturity and TRA payments.
  • Progress against the $122 million transformation cost estimate and realization of the projected annual savings above $75 million.
  • How sale proceeds are ultimately allocated among debt reduction, repurchases and reinvestment, and whether post-sale concentration increases business volatility.
