Business context

Actinium is a clinical-stage biopharmaceutical company developing antibody radiation-conjugates. Its lead candidate, Iomab-B, is being tested as conditioning before bone marrow transplant in the pivotal Phase 3 SIERRA trial for older patients with relapsed or refractory AML. Other programs include Actimab-MDS, Iomab-ACT, CD33-targeted candidates, and an AWE-platform research collaboration with Astellas. The company has not generated commercial revenue.

Q2 R&D expense rose primarily due to higher Iomab-B costs, partly offset by lower stock-option compensation; G&A fell mainly because of lower professional fees. For the first half, lower G&A more than offset higher R&D, reducing the net loss versus the prior year. Margins are not meaningful because the company reported no revenue.

  • Cash and liquidity: Cash and cash equivalents were $19.52 million at June 30, 2019, up from $13.67 million at year-end 2018. Including restricted cash, cash, cash equivalents and restricted cash totaled $20.00 million. Current assets were $19.95 million and current liabilities $5.18 million.
  • Cash flow, first half: Operating cash use was $10.85 million, versus $9.67 million in 2018; investing cash use was $59,488; financing provided $16.81 million. Cash and restricted cash increased by $5.90 million.
  • Debt and leases: Note payable was $100,777, all current. Lease liabilities were approximately $1.32 million in total, including operating and finance lease obligations. Total liabilities were $6.12 million.
  • Equity financing and dilution: The April offering of 42.9 million shares and warrants for 42.9 million shares generated $16.5 million gross and $15.1 million net proceeds. The company also received $1.5 million from warrant exercises and $0.4 million net from its ATM program. Shares outstanding were 162.0 million at quarter-end and 162.4 million as of August 9. At June 30, 86.3 million warrants and 7.9 million options were outstanding.

Material changes, outlook and risks

  • Management reported that SIERRA reached 50% enrollment in July 2019 and identified trial completion as its highest priority, with clinical teams and resources focused on enrollment and execution.
  • The company described preliminary SIERRA data presented at medical meetings, including transplant and engraftment outcomes in early patient groups and a reported reduction in peripheral blasts after Iomab-B. These are interim observations, not final Phase 3 results.
  • Management stated that existing resources were expected to fund planned operations for at least the next 12 months from the filing date. Separately, the filing warns that current funding is insufficient to complete development and commercialization and that the company expects to seek additional capital. Future financing may be unavailable or dilutive; operations may need to be reduced if adequate funding cannot be raised.
  • Key risks include failure or delay of SIERRA or other trials, patient-enrollment challenges, regulatory or safety setbacks, reliance on third-party manufacturers and isotope suppliers, intellectual-property limitations, competition, and the lack of commercial revenue. The DOE Ac-225 supply contract was due for annual renewal at year-end 2019.
  • Subsequent events: after quarter-end, the company granted 3.6 million options at $0.232 per share related to past services and issued 392,079 shares for consulting services.
  • No legal proceedings were reported. Management concluded disclosure controls were effective as of June 30, 2019; no material change in internal control over financial reporting was reported.

Important facts for investors to verify

  • SIERRA enrollment progress, completion timing, final endpoints, and whether interim findings are confirmed in the full trial.
  • Cash burn and the assumptions behind management’s at-least-12-month runway statement, especially as trial spending and vendor payments change.
  • Financing needs, potential future equity issuance, and dilution from outstanding warrants, options, and subsequent-event grants.
  • Renewal and availability of Ac-225 and other isotope supplies, and manufacturing capacity for ongoing trials and any future commercialization.
  • Regulatory plans and costs for Actimab-MDS, Iomab-ACT, and CD33 programs, alongside the company’s prioritization of SIERRA.
