For the six months, operating cash flow was negative $8.6m, versus positive $26.7m a year earlier. The company attributed the decline mainly to payment timing for raw materials, higher incentive compensation and channel rebates. Investing activities provided $205.0m, including $338.7m in net proceeds from Tripwire, offset in part by acquisitions, the Litmus investment and capital spending. Financing activities used $303.3m, including $230.6m in borrowing repayments and $66.6m in share repurchases.
At July 3, cash was $527.7m, current assets $1,408.8m and current liabilities $590.3m. Long-term debt carrying value was $1,137.9m; the company reported no revolver borrowings and $292.8m of available capacity under its $300m facility. The remaining senior subordinated notes had a $1,151.9m carrying value before unamortized issuance costs. Debt fell from $1,460.0m at year-end, primarily following retirement of the €200m 2026 notes.

Outlook, commentary, risks and unusual items
Management said it expects operating activities to generate cash in 2022 and believes liquidity is sufficient for working capital, capital expenditures, retirement contributions, repurchases, dividends and short-term operating plans. No specific revenue or earnings guidance was provided. Management noted external financing could be needed for a significant acquisition.
The company cited inflation and labor costs, copper and other commodity prices, foreign exchange, market demand, channel inventory levels, competition and continuing pandemic-related disruption as factors that may affect results. Approximately 44% of Q2 consolidated revenue was from customers outside the U.S.; a stronger U.S. dollar generally weighs on translated revenue and earnings.
Belden sold Tripwire for $350m gross cash consideration and recorded a $4.6m after-tax disposal loss. It completed three cash-funded acquisitions—Macmon, NetModule and CAI—and invested $20m in Litmus. The company expects approximately $5m of additional 2022 manufacturing-footprint costs and approximately $5m of additional acquisition-integration costs. It also repurchased $66.6m of shares in the first half and reported $115m of authorization remaining as of the filing date.
Legal and environmental contingencies were described as not material based on current estimates. A pending putative class action relates to a 2020 data incident; the company said it believes potential exposure is insured and is defending the case. Belden also guarantees a former Grass Valley property lease through 2035, with approximately $17.3m of payments remaining if the primary obligor fails to pay; no liability was recorded. Disclosure controls were assessed as effective, and no material risk-factor changes were reported.
