Business context

Chemours is a global performance-chemicals company operating through Titanium Technologies, Thermal & Specialized Solutions, Advanced Performance Materials, and Chemical Solutions. Its products include titanium dioxide pigment, refrigerants, fluoropolymers and advanced materials, sodium cyanide, and other industrial chemicals. In Q4 2020, it split its former Fluoroproducts segment into Thermal & Specialized Solutions and Advanced Performance Materials; historical segment figures were recast.

Management expected available cash, operating cash flow, receivables securitization, and existing financing arrangements to provide liquidity through at least February 2022, subject to risks and assumptions.

Segment results

SegmentSales, 2020Sales, 2019Adjusted EBITDA, 2020Margin, 2020
Titanium Technologies$2.402 billion$2.345 billion$510 million21%
Thermal & Specialized Solutions$1.105 billion$1.318 billion$354 million32%
Advanced Performance Materials$1.104 billion$1.330 billion$126 million11%
Chemical Solutions$358 million$533 million$73 million20%

Titanium Technologies sales rose 2% as volume increased 8%, partly offset by a 6% price decline. The other three segments recorded lower sales: Thermal & Specialized Solutions was affected by weaker demand and lower pricing; Advanced Performance Materials by a 15% volume decline; and Chemical Solutions by the exit of Methylamines and Methylamides, lower volumes, and lower prices.

Material changes and unusual items

  • Sales fell $557 million year over year, but gross profit was broadly unchanged. Cost of goods sold decreased 13%, reflecting lower sales, reduced freight and logistics costs, cost actions, and the absence of certain 2019 costs, including $150 million of Fayetteville remediation activity.
  • Net income improvement partly reflects the unusual prior-year comparison: FY2019 included a $380 million pension settlement charge. FY2020 also included a $40 million income-tax benefit, a $22 million debt-extinguishment loss, and a $26 million net foreign-exchange loss in other expense.
  • FY2020 restructuring, asset-related, and other charges totaled $80 million. These included charges related to the stalled Gomez Palacio, Mexico Mining Solutions project and the Aniline business exit in Pascagoula, Mississippi.
  • In November 2020, Chemours issued $800 million of 5.75% notes due 2028 and used the proceeds, with cash on hand, to retire the remaining $908 million of 6.625% notes due 2023. The refinancing resulted in a $22 million extinguishment loss.
  • The company paid $164 million in common dividends during 2020 and announced a $0.25-per-share quarterly dividend for Q1 2021. No shares were repurchased under its repurchase program in 2020.

Outlook, risks, and contingencies

  • 2021 outlook: Management expected volume recovery in Titanium Technologies; improved refrigerant demand, including Opteon, partly offset by illegal legacy-HFC imports in Europe; stronger polymer demand; and increased Chemical Solutions volumes as mine utilization improved. Planned 2021 capital expenditures were approximately $350 million. The filing provides no numerical earnings or sales guidance.
  • COVID-19: Management reported minimal operating disruption but weaker customer demand. Cost-reduction actions delivered $160 million in savings, and capital spending was reduced by $125 million. The duration and financial effects of the pandemic remained uncertain.
  • PFAS and environmental exposure: The company reported $390 million of environmental remediation liabilities, including $194 million related to Fayetteville Works. It disclosed that potential environmental liability could be up to approximately $580 million above the accrued amount under adverse changes in circumstances; management characterized that possibility as remote. Actual costs and timing remain uncertain.
  • PFAS cost-sharing MOU: In January 2021, Chemours, DuPont, Corteva, and EID agreed to share certain pre-July 2015 legacy PFAS costs through the earlier of 2040, $4 billion of defined qualified spend, or specified termination events. Chemours bears half during the arrangement. Chemours is scheduled to deposit $100 million into escrow in each of 2021 and 2022, then $50 million annually through 2028, subject to the MOU’s terms.
  • PFOA litigation settlement: A January 2021 agreement provided for an approximately $83 million settlement of most remaining MDL cases and related pre-suit claims. Chemours’ share is approximately $29 million, accrued at year-end 2020. One case was excluded; Chemours said it would appeal the verdict.
  • Fayetteville: A court-approved consent-order addendum requires specified PFAS remediation, including a barrier wall and groundwater extraction system targeted for completion by March 15, 2023. A January 2021 North Carolina notice of violation concerning the Old Outfall 002 treatment system could result in a loss, but the amount was not estimable. The thermal oxidizer was reported to control PFAS air emissions at average efficiency exceeding 99.999% in initial testing.
  • Mexico project: Litigation and permit challenges have suspended construction of the Gomez Palacio Mining Solutions facility. The company had $146 million of construction-in-progress assets there at year-end and recorded project-related charges. An adverse ruling could trigger an impairment assessment.
  • Other key exposures include broader PFAS and environmental litigation, possible regulatory changes, raw-material and energy price volatility, foreign exchange and interest-rate risk, competition, and substantial indebtedness. Management reported effective disclosure controls and internal control over financial reporting; the auditor issued unqualified opinions on the financial statements and internal control.

Important facts for investors to verify

  • Review the drivers and sustainability of the $807 million operating cash flow and $540 million free cash flow, including the effects of working capital, receivables sales, and reduced capital expenditures.
  • Track segment demand, prices, margins, and the extent to which 2021 volume recovery offsets continuing market and pandemic risks.
  • Assess the full potential cost, timing, and funding effects of the PFAS MOU, escrow deposits, Fayetteville remediation, and related litigation beyond recorded accruals.
  • Monitor debt service, refinancing terms, covenant headroom, and net leverage, particularly if Adjusted EBITDA or cash generation weakens.
  • Follow permitting and construction developments for the Gomez Palacio facility and the risk to its $146 million carrying value.
