Balance sheet, debt and liquidity

  • At March 31, 2024, total assets were $1.264 billion, gross mortgage and other debt was $1.239 billion ($1.227 billion net of unamortized issuance costs), and total equity was $0.734 million. Debt fair value was estimated at $1.167 billion.
  • Cash and cash equivalents were $21.882 million; restricted cash was $18.315 million. Together they totaled $40.197 million, but restricted cash is not freely available for general needs.
  • Operating cash flow was $6.252 million; investing cash outflow was $22.247 million, principally property additions; financing cash inflow was $19.967 million, including $20.460 million of Dean Street borrowings. Capital expenditures were $20.938 million, compared with $11.166 million a year earlier.
  • Principal payments due are $82.092 million in 2025, $72.839 million in 2026, $33.461 million in 2027, and $416.554 million in 2028. The filing states the Company was not in default on its loan agreements.
  • Variable-rate debt was $102.4 million; management estimates a 1-percentage-point rate increase would affect annual net loss by about $1.0 million. The Company had no interest-rate caps at quarter-end.

Material changes, outlook and risks

  • Management attributed higher residential revenue primarily to rent increases and lower receivable reserves/write-offs. Operating expenses excluding 1010 Pacific declined overall, largely because Flatbush Gardens’ property-tax exemption more than offset higher operating, payroll and depreciation costs.
  • New York City notified the Company of its intention to terminate the 250 Livingston Street lease, covering 342,496 square feet and generating approximately $15.4 million annual rent, effective August 23, 2025. City agencies represented about 22% of Q1 2024 total revenue. The loan agreement calls for a lender-benefit cash-management account for building revenue; excess funds are released only after specified tenant-cure conditions are met.
  • The City lease at 141 Livingston Street expires in December 2025. If a minimum five-year extension or replacement is not in place by June 27, 2024, the Company must fund a $10 million escrow over 18 months or provide a letter of credit.
  • Management expects cash on hand, operating cash flow and potential property sales or debt/equity financing to meet obligations and distributions for at least 12 months, but gives no assurance of future refinancing on favorable terms or at all. The filing provides no numerical earnings or revenue guidance.
  • The Company expects up to $27 million of Flatbush Gardens capital improvements under its housing agreement over three years; approximately $2.9 million had been spent through March 31, 2024. It expects tax-exemption and enhanced tenant-assistance payments to offset these costs.
  • Rent-stabilization litigation includes ongoing Crowe and Horn matters; the Company says it is engaged in settlement discussions. A City audit of operating-expense escalation charges is also ongoing; management believes existing reserves are adequate. Management reported no property impairment at quarter-end.
  • On March 14, 2024, the Company declared $4.396 million of dividends and distributions, paid April 4. Subsequent to quarter-end, the Board declared a $0.095-per-share first-quarter dividend, payable May 30, 2024.

Important facts for investors to verify

  • Progress on replacing or renewing the City of New York leases at 250 and 141 Livingston, the cash-management restrictions, and the potential $10 million escrow.
  • Debt refinancing capacity, especially the 2025 maturities and the large 2028 principal requirement, as well as compliance with lender covenants and cash-sweep provisions.
  • Actual availability of cash, given restricted balances, ongoing development spending, distributions, and Flatbush Gardens’ committed improvements.
  • Dean Street construction-loan draw availability, cost and completion outlook; the filing reports floating rates of 9.33% on the senior loan and 15.33% on the mezzanine loan at quarter-end.
  • Progress and potential exposure in the remaining rent-stabilization cases and the City operating-expense audit.
