Revenue increased approximately 96.4% year over year, while net profit increased approximately 22 times. The reported operating margin was approximately 71.2% of revenue and net margin approximately 59.9%; both were materially supported by vessel disposal gains. Gains on disposal of vessels and other tangible assets were $394.9 million versus $103.8 million in the prior period.

Operating cash flow was $417.3 million. Investing activities used $82.8 million, including vessel investments and business-combination-related payments. Financing activities used $328.5 million, principally reflecting debt repayments and dividends. Period-end cash increased by $6.0 million from December 31, 2025.

Total assets were $8.83 billion, compared with $8.41 billion at December 31, 2025. Vessels increased to $6.88 billion from $6.32 billion, while assets under construction declined to $532.7 million from $739.4 million. Equity attributable to owners increased to $3.12 billion from $2.62 billion.

Interest-bearing debt and borrowings totaled approximately $5.45 billion at June 30, 2026, comprising bank loans, other notes, other borrowings and lease liabilities. Approximate debt less cash was $5.30 billion. Current debt and borrowings were approximately $581.3 million, including a $203.6 million carrying value for unsecured notes due in 2026. Management stated that all debt covenants were satisfied at the reporting date.

Material changes versus the prior comparable period

  • Revenue growth was driven by the full-period inclusion of the former Golden Ocean fleet, newbuilding deliveries and stronger freight markets, particularly in spot dry bulk and tanker activity.
  • Golden Ocean vessels were included in the Bocimar segment for the full six months in 2026, compared with approximately 3.5 months in 2025.
  • Voyage expenses rose to $249.2 million from $123.7 million and vessel operating expenses rose to $253.0 million from $175.5 million, primarily due to fleet growth, increased spot-market activity, higher bunker costs and increased port calls.
  • Net finance expense improved to $157.9 million from $182.4 million, mainly because foreign-exchange losses were substantially lower, partly offset by higher interest expense.
  • The Group sold multiple vessels and recognized substantial gains, including $259.3 million on six VLCCs, $98.2 million on two additional VLCCs and $29.2 million on the Suezmax Sienna.
  • The Group delivered multiple new vessels, including four Newcastlemax bulk carriers, three VLCCs, two Suezmax vessels, one chemical tanker and one commissioning service operation vessel.
  • All Euronav vessels exited the Tankers International Pool during the first half of 2026, reducing pool revenue but contributing to higher spot-market exposure.
  • Shareholders received declared distributions of $232.1 million, while $246.6 million was paid during the first half. The approved May distribution was $0.64 per share, comprising a $0.20 interim dividend and a $0.44 share-premium distribution.

Guidance, outlook, risks and unusual items

The filing does not provide formal quantitative earnings guidance. Management reported a continuing fleet-renewal and decarbonization strategy, including a June agreement with Fortescue for the charter of up to 12 ammonia-powered Newcastlemax bulk carriers. The Group had 25 vessels under construction at June 30, 2026 and approximately $900.8 million of total capital commitments, with $514.7 million scheduled for 2026.

Two vessels sold in June 2026, Brest and Brugge, were expected to generate an aggregate gain of approximately $100.2 million upon delivery in the third quarter of 2026. Subsequent sales of Donoussa and Bristol were expected to generate approximately $74.3 million and $56.9 million, respectively, in the fourth quarter of 2026.

Assets held for sale totaled $220.0 million at June 30, 2026. The filing states that Donoussa, Stella and Golden Myrtalia were classified as held for sale; Donoussa was subsequently sold. The Group reported no marine impairment charge after reviewing market values and operating indicators.

Material risks include freight-rate, vessel-value and steel-price volatility; interest-rate, foreign-exchange, refinancing and covenant risk; high capital commitments and leverage; delivery delays and operational downtime; fuel, crew, insurance and dry-docking costs; geopolitical disruptions, including risks affecting the Red Sea, Arabian Gulf and Strait of Hormuz; environmental regulation and energy-transition execution; cybersecurity; counterparty and insurance risk; litigation; and potential passive foreign investment company treatment for U.S. tax purposes.

The Group is involved in litigation concerning FourWorld, dissenting Golden Ocean shareholders and the Oceania matter in Malaysia. Management has not recorded a provision for the Oceania conversion claim because it believes an outflow is not more likely than not. A $51.4 million cash security related to that matter remains classified as a non-current receivable.

Unrecognized deferred tax assets were $68.3 million at June 30, 2026. The filing also identifies goodwill of $177.0 million from the Golden Ocean acquisition and states that no impairment indicators were identified.

Important facts for investors to verify

  • Separate recurring operating performance from the $394.9 million of vessel-disposal gains included in operating income.
  • Confirm the maturity, refinancing plan and repayment terms for the $203.6 million unsecured notes due in 2026 and other short-term obligations.
  • Assess leverage, interest-rate exposure and compliance with vessel-loan covenants under weaker freight-rate or vessel-value scenarios.
  • Review the approximately $900.8 million of newbuilding commitments and their funding requirements, including the $514.7 million scheduled for 2026.
  • Monitor proceeds and gain recognition from vessels held for sale and subsequent sales expected in the third and fourth quarters of 2026.
  • Evaluate the sustainability of cash generation after dividends, vessel acquisitions, debt service and fleet-renewal spending.
  • Track the FourWorld, Golden Ocean dissenting-shareholder and Oceania proceedings, including potential timing and financial exposure.
  • Verify the impact of the Golden Ocean integration, fleet expansion and increased spot-market exposure on future revenue volatility and margins.
