CWT revenue declined 1.2% to $312.9 million, while operating margin improved to 13.5% from 7.6%, supported by Henry acquisition synergies, restructuring and operating efficiencies. Financing activities used $166.1 million, including $150.0 million of share repurchases and $41.5 million of dividends. Cash and equivalents were $552.6 million at quarter-end, down from $576.7 million at year-end. Material changes, transactions and outlook

  • Revenue increased 22.8% year over year, with 22.3% organic growth; operating margin expanded 7.0 percentage points. Lower selling and administrative expenses as a share of revenue and higher sales volume contributed to the improvement.
  • Discontinued operations generated $21.4 million of income versus $18.1 million in Q1 2023. CFT was sold in October 2023. Carlisle agreed to sell CIT to Amphenol for $2.025 billion in cash, subject to customary adjustments and closing conditions; closing was expected by the end of Q2 2024.
  • Carlisle agreed to acquire MTL Holdings for $410 million in cash, subject to adjustments and customary conditions, with closing expected by the end of Q2 2024. The company describes both transactions as part of its transition to a pure-play building-products business.
  • 2024 revenue outlook versus 2023: CCM low-double-digit growth; CWT mid-single-digit growth; total Carlisle approximately 10% growth. Management cited re-roofing demand, normalized ordering, market trends and growth initiatives. This is revenue guidance; the filing does not provide a clear full-year earnings or cash-flow forecast.
  • On April 3, 2024, the company extended its $1.0 billion revolving credit facility to April 3, 2029; the prior facility was scheduled to expire in February 2025.

Risks, contingencies and notable items

  • Management’s outlook is subject to construction-market cyclicality, competition, raw-material costs and the ability to recover cost increases through pricing, as well as acquisition and divestiture execution, litigation, cybersecurity, regulatory and macroeconomic risks, including inflation, interest rates and currency fluctuations.
  • The CIT sale and MTL acquisition remain subject to closing conditions, including regulatory clearances. The CIT disposal group had $1.724 billion of assets and $203.5 million of liabilities classified as held for sale at March 31.
  • The quarter’s continuing-operations effective tax rate was 20.4%; the tax provision included a $7.1 million discrete tax benefit, primarily from excess employee stock-compensation tax benefits. The anticipated tax rate on earnings was 23.7%.
  • The company disclosed asbestos-related claims and other ordinary-course litigation. Management said the accrued asbestos indemnity liability was not material, but insurance recoveries may be affected by exclusions, limits, retentions or disputes. No material change in risk factors was reported.
  • Operating cash flow increased despite materially greater working-capital use, including higher receivables associated with sales growth and inventory investment ahead of the construction season.

Investor facts to verify

  • Whether the CIT sale and MTL acquisition closed as expected, and the final proceeds, purchase price adjustments and resulting use of cash.
  • Whether CCM and CWT performance and end-market conditions support the stated full-year revenue outlook.
  • Whether working-capital investment converts to cash as the construction season progresses, and how operating cash flow compares with earnings.
  • How the $402.8 million current debt balance is addressed at maturity and the company’s post-transaction cash, debt and liquidity position.
  • Whether margin expansion is sustained as volume, pricing, Henry synergies and restructuring benefits evolve.
