- At June 30, cash and cash equivalents were $21.7 million and bank time deposits were $13.2 million, totaling $34.9 million. Total current assets were $155.8 million; current liabilities were $28.6 million.
- Total debt was $84.5 million, including $71.5 million drawn on the $250 million revolving credit facility and a $13.0 million Whitmore term loan. Debt fell $5.1 million from March 31. CSWI reported compliance with its debt covenants.
- Operating cash flow declined chiefly because of a $6.0 million increase in accounts receivable and lower accounts payable and other current liabilities. Cash decreased $4.3 million during the quarter.
Material changes versus the prior-year quarter
- Revenue weakness in rail, energy and mining outweighed growth in HVAC, architecturally specified building products and acquisition-related sales. Management attributed the decline primarily to lower rail-market volumes.
- Industrial Products revenue rose 8.8% to $43.5 million and operating income rose 9.5% to $10.6 million; operating margin was 24.4%.
- Coatings, Sealants and Adhesives revenue fell 17.7% to $23.4 million; operating income was $1.6 million, down 10.6%. Rail weakness was the principal revenue drag.
- Specialty Chemicals revenue fell 14.8% to $17.2 million and operating income fell 58.9% to $1.1 million, reflecting weaker rail, energy, mining and industrial sales and facility-consolidation impairment.
- Gross margin was nearly unchanged, but operating expenses increased 17.7% to $30.8 million. The quarter included $3.3 million of CFO-transition and other severance costs, $1.1 million of impairment charges, and higher personnel and public-company costs; management said severance and impairment charges were not expected to recur. The comparison also benefited from $2.3 million of prior-year Strathmore transaction costs that did not recur.
- The effective tax rate rose to 43.1% from 36.2%, including a $0.6 million impact from uncertain-tax-position reserves and tax-rate changes. Other income improved to $0.5 million, including gains on non-operating asset sales and currency transactions.
Outlook, risks and other notable items
- Management expected the challenging energy-market environment to persist through the fiscal year, citing customer spending pressure related to low natural-resource prices. It cited strength in HVAC and architecturally specified building products. No quantitative revenue or earnings guidance was provided.
- Management expected available cash, operating cash flow and revolving-credit availability to meet liquidity needs, including capital spending, for at least 12 months. The company expected about $3 million of fiscal 2017 capital expenditures for lubricant and grease production consolidation, with possible additional spending in later periods.
- Integration plans include manufacturing consolidation and pursuing cross-selling and cost efficiencies. Management also noted standalone public-company costs and said synergies may offset these over the longer term.
- Interest-rate and foreign-exchange exposures are identified risks. Interest-rate swaps covered $45.6 million of debt; $38.9 million remained variable-rate and unhedged, with a 2.20% weighted-average rate. Management estimated that a 0.25 percentage-point rate change would affect annual interest expense by less than $0.1 million. A 10% foreign-exchange move was estimated to have a negligible earnings impact.
- The filing reports no pending legal matter management believed reasonably likely to have a material effect and no material changes to previously disclosed risk factors. Disclosure controls were deemed effective; a new consolidation system was implemented during the quarter.
Important facts for investors to verify
- Whether rail, energy and mining demand stabilizes, and whether HVAC and building-products growth continues to offset weakness.
- How much of the operating-income decline reflects nonrecurring severance and impairment versus ongoing cost, volume and segment-margin pressure.
- Receivables collection and working-capital trends, given lower operating cash generation and the quarterly increase in receivables.
- Progress, costs and expected savings from facility consolidation, including any additional capital requirements.
- Debt repayment, covenant headroom, and sensitivity to interest rates and foreign-currency movements.
