Organic sales growth was driven by 13% pricing, partly offset by a 1% volume decline; currency translation reduced reported sales growth. Adjusted results exclude special charges, and adjusted net income and EPS also exclude discrete tax items.
- Segment sales: Global Industrial +12% organic, Global Institutional & Specialty +14%, Global Healthcare & Life Sciences +9%, and Other +15%. Healthcare & Life Sciences operating income fell 16% at fixed currency; the other major segments reported operating income growth.
- Cash and investment: Cash and equivalents were $419.4 million at March 31, down from $598.6 million at year-end. Capital expenditures were $173.7 million; cash used in investing activities was $189.4 million and cash used in financing was $166.4 million. Dividends paid were $157.7 million.
- Debt and liquidity: Total debt was approximately $8.64 billion and net debt $8.22 billion; net debt to trailing-twelve-month EBITDA was 3.1x, compared with 3.2x at year-end. Short-term debt was $1.12 billion, including $1.11 billion of current long-term maturities, versus $505.1 million at December 31. The company had no commercial paper outstanding and no borrowings under its $2.0 billion revolving credit facility, which expires in April 2026. It reported compliance with debt covenants.
- Margins and costs: Strong pricing offset significant delivered-product-cost increases and unfavorable mix, lifting adjusted gross margin by 0.2 percentage points. SG&A was 27.7% of sales versus 28.0%, as productivity gains more than offset business investment. Net interest expense rose 40% to $74.2 million, reflecting higher average rates on floating-rate debt and a Q4 2022 debt issuance.
Material changes, outlook and risks
- Special charges totaled $27.7 million, versus $77.0 million in Q1 2022. The prior-year period included Purolite inventory fair-value step-up costs and larger Russia/Ukraine and other charges, contributing to the difference between reported and adjusted growth.
- The expanded Combined Program restructuring is expected to incur total pre-tax charges of $195 million ($150 million after tax), primarily cash costs, with completion expected by 2024. Ecolab reported $35 million in cumulative savings and estimates $175 million in annual continuing-operations savings by 2024. The program includes workforce reductions and facility closures.
- Management expects strong operating cash flow to fund foreseeable needs over the next 12 months, including debt repayments, investment, dividends, repurchases and pension contributions, with additional borrowing available as needed. The filing does not provide specific full-year revenue or earnings guidance.
- Management anticipates a more challenging macroeconomic environment, particularly in Europe, and expects high delivered product costs, unfavorable currency translation and interest-rate effects to persist well into 2023. International operations are exposed to currency, political and economic risks; the U.S. represented 54% of Q1 revenue.
- Ecolab is limiting Russian activity to operations considered essential to life and may further narrow its presence. Russia and Ukraine represented approximately 1% of Q1 consolidated sales.
- In litigation stemming from the 2019 TPC Group plant explosion, Nalco is among defendants in claims asserted by more than 5,000 plaintiffs. Ecolab says it believes the claims are without merit and potential loss should be insured, subject to deductibles, but cannot estimate a loss or range at this stage. Environmental assessments and remediation are ongoing at approximately 25 locations.
- Management said disclosure controls were effective as of March 31, 2023; ERP upgrades continue in phases and will require control-effectiveness testing. No material control changes were reported during the quarter.
Important facts for investors to verify
- Whether price-led organic growth can be sustained if volumes remain weak, and whether pricing continues to offset input costs and mix.
- Progress on the Combined Program: actual charges, cash spending, implementation timing and delivery of the $175 million annual savings estimate.
- The $1.1 billion of debt due within one year, refinancing or repayment plans, interest-rate exposure and leverage trajectory.
- Cash conversion and working capital: operating cash flow benefited from higher earnings but was partly offset by an unfavorable working-capital change, particularly lower accounts payable.
- Developments in the TPC litigation, insurance coverage and any changes in the company’s ability to estimate potential exposure; also monitor environmental contingencies and Russia-related risks.
- Segment performance, especially the decline in Healthcare & Life Sciences operating income despite sales growth, and the assumptions behind adjusted/non-GAAP measures.
