Material changes and management commentary

  • Sales were essentially flat year over year. Ecoservices sales increased 2.8% to $141.6 million, while Advanced Materials & Catalysts sales fell 18.2% to $18.9 million.
  • Management attributed Ecoservices’ higher volume to virgin sulfuric acid and regeneration services, including comparison with Q1 2023 disruptions from Winter Storm Elliott and facility maintenance. Lower pass-through selling prices partly offset volume growth. Advanced Materials & Catalysts was affected by lower advanced-silica volumes and customer order timing.
  • Gross profit rose 7.4%, reflecting higher volume and lower variable manufacturing costs, partly offset by lower average selling prices. Operating income also benefited from lower transaction, optimization and asset-disposal costs.
  • Adjusted EBITDA increased 6.1% to $45.5 million: Ecoservices rose 12.8% to $41.5 million; Advanced Materials & Catalysts declined 14.6% to $11.1 million, including the company’s share of JV results; unallocated corporate expenses were $7.1 million. Adjusted EBITDA is a non-GAAP measure and should not be viewed as a substitute for GAAP results or cash flow.
  • Operating cash flow improved substantially, mainly due to a $28.0 million dividend received from the Zeolyst JV and more favorable working-capital movements. Cash flow therefore reflects a notable JV dividend contribution, not solely operating earnings. Cash increased by $14.8 million during the quarter.
  • The effective tax rate was 49.1%; management cited state and local taxes, stock-compensation tax effects and accrued penalties and interest on historical uncertain tax positions.

Outlook, risks and contingencies

Management stated that cash, expected operating cash flow and ABL availability should cover anticipated needs for at least the next 12 months. No specific revenue or earnings guidance is provided in the supplied filing text. Management noted that regeneration services are seasonal, with higher demand and working-capital needs generally in the second and third quarters. It also cited demand, customer catalyst-replacement timing, variable interest rates, input and labor costs, foreign exchange, customer concentration and contract renewal or termination, competition, supply interruptions, environmental regulation and product or cybersecurity risks.

The company uses interest-rate caps to hedge variable-rate debt exposure; before hedging, a 1 percentage-point rate change would affect annual interest expense by approximately $8.8 million. Environmental exposure and ordinary-course lawsuits and claims are disclosed; management said probable, estimable claims have been accrued and does not expect the matters to materially adversely affect consolidated financial position, results or liquidity. The filing reports no pending litigation believed likely to have a material adverse effect and no material change in the risk factors from the 2023 Form 10-K.

No shares were repurchased under the company’s repurchase program during the quarter; $234.6 million remained authorized. Employee tax-withholding share transactions are separate from program repurchases. Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether Ecoservices volume gains and favorable manufacturing costs persist as seasonal demand and working-capital needs rise in Q2 and Q3.
  • Whether Advanced Materials & Catalysts sales recover, given lower advanced-silica volumes and customer order timing.
  • The sustainability of operating cash flow and liquidity, considering the $28.0 million JV dividend contribution and the company’s debt-service burden.
  • Interest-rate exposure, hedge coverage and the term loan’s 7.91% rate, as well as covenant compliance and ABL availability.
  • Potential costs or developments relating to environmental matters, historical uncertain tax positions, and ordinary-course legal claims.
