Outlook, risks and notable items

No specific earnings or operating guidance was provided. Management expected short-term liquidity needs to be met through operating cash flow and selected asset dispositions; longer-term requirements may be funded through asset sales, debt and equity issuance, subject to market conditions. The company intended to continue selectively marketing properties for sale and pursue acquisitions and development where appropriate.

Key risks cited include economic and industrial-property market conditions, occupancy and rents, tenant creditworthiness, access and cost of capital, interest rates, covenant compliance, competition, development delays or cost overruns, property valuations, and REIT qualification and tax rules. The company had agreed with the IRS on a tax adjustment relating to a 2009 refund; the Joint Committee on Taxation approved the settlement in 2013. Approximately $4.8 million of tax and $0.5 million of accrued interest were recorded in 2012, with interest stated as of March 31, 2013. Management said ordinary-course legal matters were not expected to materially affect financial condition, operations or liquidity.

After quarter-end, the company repaid $12.0 million of mortgage loans and redeemed remaining Series J preferred depositary shares for $100.0 million plus accrued dividends. From April 1 through May 6, it acquired land for $16.6 million and sold three properties for approximately $20.8 million. These subsequent transactions affect liquidity and capital allocation and should be considered alongside quarter-end balances.
