The $2.0 billion revolving credit facility was undrawn at year-end, and Fortive reported compliance with its debt covenants. Management said available cash, operating cash flow, and financing access should meet foreseeable cash needs.

Outlook, commentary, and notable items

  • For 2024, management projected sales growth of approximately 6%–8%, including approximately 2%–4% growth from existing businesses. The outlook is subject to macroeconomic, supply-chain, inflation, foreign-exchange, interest-rate, market, and elective-surgery assumptions.
  • Fortive completed four IOS acquisitions in 2023 for aggregate cash consideration of $101.4 million. On January 3, 2024, it acquired EA Elektro-Automatik for approximately $1.72 billion, net of acquired cash; the purchase accounting was still being finalized. The 2024 outlook should be assessed in light of this post-year-end acquisition.
  • A discrete restructuring plan completed in Q4 2023 generated $58.6 million of charges, primarily related to workforce reductions. The plan reduced FY2023 operating margin by an estimated 95 basis points.
  • Fortive disclosed cybersecurity incidents in Q4 2023. It reported no material effect on business continuity or operations to date but was continuing its investigation and remediation.
  • In January 2024, Fortive notified the Department of Defense OIG and the Defense Logistics Agency about incorrect small-business-status representations connected with certain contracts. The company did not expect a material financial impact but said fines or penalties were possible and the outcome uncertain.
  • In February 2024, Fortive issued €1.2 billion of 3.7% notes due 2026 and 2029, with net proceeds used in part to refinance term-loan and commercial-paper borrowings.
  • Management reported no goodwill impairment in 2023; goodwill and other intangible assets totaled approximately $12.3 billion. The auditor issued unqualified opinions on the financial statements and internal controls; the audit’s critical audit matter was goodwill valuation.

Most important facts for investors to verify

  • Whether 2024 growth and margin performance meet guidance, separating EA acquisition contribution from organic growth and tracking pricing versus volume.
  • Post-acquisition leverage, refinancing costs, and the effect of the EA purchase on cash, debt maturities, and covenant headroom.
  • Whether Q4 cybersecurity incidents or the DLA contract matter result in material costs, penalties, operational disruption, or required disclosures.
  • Whether restructuring savings persist and whether AHS’s weaker margin and essentially flat sales improve.
  • Assumptions supporting goodwill and intangible-asset valuations, particularly following acquisitions and any market deterioration.
