At March 31, 2021, total debt was approximately $1.68 billion, comprising $585.5 million under the term loan and $1.09 billion of senior notes, net of issuance costs. Short-term funded borrowings were reduced from $250.0 million at year-end to zero. Approximate gross debt less cash was $1.04 billion. The company reported compliance with its debt covenants.

Material changes versus the prior comparable period

  • Revenue growth was driven primarily by Global Clients, transformation services and CGRLH growth, while GE revenue declined due to contractual productivity commitments, lower GE information technology spending, macroeconomic factors and GE business divestitures.
  • BCMI revenue declined 9.8%, primarily because of a restructured large banking and capital markets contract. CGRLH revenue increased 11.4%, and HMS revenue increased 0.8%.
  • Gross margin improved because of better utilization of transformation resources, lower travel costs and the absence of a non-recurring India retirement fund charge recorded in Q1 2020.
  • Amortization of acquired intangible assets increased 50.6% to $16.2 million, primarily because of the Enquero and SomethingDigital acquisitions.
  • Foreign exchange gains fell to $3.3 million from $14.5 million, while the effective tax rate increased to 24.1% from 22.5% because certain tax benefits expired and Q1 2020 included greater discrete tax benefits.
  • The company issued $350.0 million of 1.750% senior notes due 2026 and used proceeds, together with cash, to repay $250.0 million of short-term borrowings.
  • Share repurchases increased to 3.3 million shares for $134.2 million, and the quarterly dividend increased 10% to $0.1075 per share. Approximately $502.8 million remained available under the repurchase authorization at March 31, 2021.

Guidance, outlook, commentary and risks

The filing does not provide a clear numerical revenue, earnings or cash-flow guidance outlook. Management stated that cash from operations, cash reserves and debt capacity were expected to be sufficient to fund operations, growth, dividends and potential additional repurchases, although future COVID-19 effects could adversely affect cash flows.

COVID-19 had no significant impact on Q1 2021 revenue, but remote-work arrangements remained in place. Management highlighted a severe second wave in India, higher employee absenteeism and possible operational disruption. The ultimate effect of the pandemic on revenue, profitability, liquidity and cash flow remained uncertain.

Other significant risks include client concentration and GE-related revenue declines, foreign-exchange and interest-rate exposure, LIBOR transition, wage inflation, employee retention, cybersecurity and data protection, competition, acquisition integration and tax-law changes.

Material tax contingencies include challenged Indian GST and service-tax refunds of $16.1 million, an Indian tax assessment of $112.2 million described in the financial statement notes, and broader tax demands of approximately $151 million disclosed in the risk factors. Management has not recorded reserves for these matters based on its assessment and legal advice. The filing also identifies an unresolved potential retrospective increase in Indian employee-benefit contributions that cannot presently be reliably estimated.

The company recorded an $0.8 million impairment charge for technology-related intangible assets and property, plant and equipment. It also reported $32.6 million of unrecognized tax benefits at March 31, 2021 that could affect the effective tax rate if recognized.

Most important facts for investors to verify

  • Whether Global Client growth can offset continued GE revenue declines and the 9.8% BCMI revenue contraction.
  • The sustainability of the Q1 margin expansion, including the contribution from lower travel costs, improved utilization and non-recurring Q1 2020 comparisons.
  • India operating conditions, employee absenteeism and any resulting impact on service delivery or labor costs.
  • Debt maturity and refinancing requirements, including the $349.5 million of 2017 Senior Notes due April 2022 and the term loan maturity in August 2023.
  • The effect of share repurchases and dividends on liquidity, leverage and future capital allocation.
  • Outcomes of Indian tax disputes, challenged GST and service-tax refunds, and the potential exposure from unrecognized tax benefits.
  • Acquisition performance and integration of Enquero and SomethingDigital, including increased amortization and goodwill-related exposure.
  • Foreign-exchange movements, interest-rate changes, hedging effectiveness and the transition away from LIBOR.
