Q3 revenue growth was led by card fees and other fees (+38%) and B2B Services, partly offset by lower cash-processing revenue (−17%). For the first nine months, card fees rose 33%, interchange rose 10%, and cash-processing revenue fell 17%. Q3 net interest income was $3.6M, up from $2.0M; nine-month net interest income was $12.4M versus $11.0M. Nine-month effective tax rate was 23.6%, compared with 23.4%.

Segment trends: Q3 Consumer Services revenue rose 11% to $167.5M and segment profit rose 17% to $60.1M, despite active accounts declining 15% and gross dollar volume declining 18%. B2B Services revenue rose 53% to $118.2M, while profit rose 13% to $18.5M; higher expenses and fixed-profit partner arrangements constrained profit growth. Money Movement Services revenue declined 19% to $45.6M, while profit increased 4% to $18.7M as expenses fell. The company realigned segment reporting in 2021 and restated prior-period segment data.

Cash, liquidity and capital

Nine-month operating cash flow was $147.2M, down from $198.9M. Investing activities used $399.7M, including net purchases of investment securities, $55.0M for bank-owned life insurance, $35.0M in TailFin Labs contributions and $39.6M of property and equipment spending. Financing activities provided $564.7M, principally from a $221.0M increase in customer deposits and a $351.8M increase in obligations to customers. Unrestricted cash was $1.805B at September 30, 2021; available-for-sale securities were $1.188B. Management said liquidity and the undrawn credit facility were expected to cover needs for at least 12 months.

Total assets were $4.391B and stockholders’ equity was $1.082B. Customer deposits were $2.959B; these are bank funding/customer liabilities, not conventional corporate debt. No borrowings were outstanding on the $100M revolving facility, which matures in October 2024; the company reported covenant compliance. Green Dot and Green Dot Bank were categorized as well capitalized. Available-for-sale securities had $21.3M of gross unrealized losses, attributed primarily to interest-rate movements; management said it did not intend, and was not likely required, to sell them before recovery.

Changes, outlook and key risks

  • Revenue and earnings improved year over year, but operating expenses rose 13% in both the quarter and nine-month period. Higher B2B processing costs, customer-service support and transaction losses were key drivers.
  • Management anticipated continued investment in GO2bank marketing, customer experience, compliance and a modernized banking platform. It expected higher call-center, staffing and software/hosting costs. No quantified earnings or revenue guidance is provided in the supplied filing text.
  • Stimulus payments and enhanced unemployment benefits supported account growth and usage; enhanced federal unemployment benefits ended in September 2021. Management expected key metrics to normalize and noted that further declines in active accounts could affect results. Q3 Consumer Services metrics were also affected by prior-year tax-refund timing and tighter fraud controls.
  • Cash transfers fell 22% in Q3 and 18% for the nine months, partly following the non-renewal of a reload-partner agreement. The company said this would continue to affect volumes and, to a lesser extent, segment profitability.
  • Material concentration: Walmart products generated 23% of revenue in both Q3 and the first nine months. One BaaS partner generated 23% of Q3 revenue and 19% of nine-month revenue.
  • Tax Refund Solutions transaction: After the quarter, Green Dot disclosed it could not obtain Federal Reserve approval or non-objection for its planned approximately $165M acquisition from Republic Bank, so the transaction would not close. A $5M termination fee was recorded in Q4 2021. Republic Bank sued seeking specific performance or monetary damages; the company could not estimate the likelihood or potential loss.
  • Other disclosed risks include COVID-19 and consumer spending uncertainty, fraud and overdraft losses, dependence on retail and BaaS partners, regulatory and compliance requirements, technology and data-security disruptions, interest-rate exposure, and litigation. Two previously disclosed securities-related cases remained unresolved; the company said their outcomes could not be predicted.

Most important facts for investors to verify

  • Whether active-account trends, fraud controls and the post-stimulus normalization materially affect Consumer Services revenue and margins.
  • Whether B2B growth translates into profit growth, given transaction losses, higher service costs and fixed-profit partner structures.
  • The ongoing revenue and profit effect of the non-renewed reload agreement and the lower tax-refund unit economics.
  • The outcome and potential financial exposure of the Republic Bank lawsuit, beyond the recorded $5M termination fee.
  • Walmart and major BaaS partner concentration, and the status of key distribution and partnership agreements.
  • Operating cash generation, investment commitments and credit quality as the overdraft-protection program expands; the filing reports a higher loan-loss provision and allowance.
