GREEN DOT CORP quarterly report, Q3 FY2020

Green Dot Corporation — Q3 2020 Form 10-Q

Reporting period: Three and nine months ended September 30, 2020. Green Dot is a bank holding company and fintech provider operating Account Services and Processing and Settlement Services, including Banking-as-a-Service (BaaS) offerings and consumer financial products.

Financial performance

MetricQ3 2020Q3 2019Nine months 2020Nine months 2019
Operating revenue$291.1 million$240.4 million$969.5 million$859.3 million
Operating income (loss)$(2.7) million$(2.2) million$61.6 million$123.2 million
Net income (loss)$(3.0) million$(0.5) million$47.1 million$98.2 million
Diluted EPS$(0.06)$(0.01)$0.87$1.84

Q3 revenue increased 21.1% year over year, while operating expenses also rose 21.1%. For the first nine months, revenue grew 12.8% but expenses rose 23.3%; operating margin was approximately 6.4%, down from 14.3%. Q3 operating margin was approximately negative 0.9%, similar to the prior-year quarter.

Revenue growth reflected higher card fees and BaaS program fees, interchange, and processing activity. Net interest income declined sharply: 69% in Q3 and 57% year to date, primarily because Federal Reserve rate cuts reduced yields. Year-to-date operating expenses rose notably in processing costs (44%) and other general and administrative expenses (37%); management cited BaaS transaction growth, higher disputed-transaction losses, increased depreciation and amortization, and compensation costs.

Cash flow, liquidity and debt

  • Operating cash flow was $198.9 million for the first nine months, compared with $204.7 million in 2019. Investing activities used $105.9 million; financing activities provided $983.0 million.
  • Unrestricted cash and cash equivalents were $2.136 billion at September 30, 2020; available-for-sale securities were $309.4 million. Customer deposits were $2.283 billion, up from $1.175 billion at year-end 2019, principally due to stimulus funds and other government benefits. The cash increase therefore should not be viewed as entirely available corporate liquidity.
  • No revolving borrowings were outstanding at quarter-end; the full $100 million facility was available and matures in October 2024. Green Dot drew the facility as a precaution in Q1 and repaid it by June 30. The company reported compliance with debt covenants and was categorized as well capitalized.
  • Green Dot committed to annual TailFin Labs capital contributions of $35 million through January 2024; $35 million was invested in 2020 through September.

Changes, outlook and risks

  • Q3 gross dollar volume rose 47%, purchase volume 26%, and active accounts 10% year over year. Management attributed growth partly to CARES Act benefits, tax refunds shifted into Q3 by the filing deadline extension, and increased digital-payment adoption.
  • Management expected key performance indicators to normalize in Q4 as the effect of government support lessened. It anticipated a modest Q4 decline in cash transfers and related revenue following the non-renewal of a reload partner arrangement, with no expected corresponding net-income impact because of the arrangement’s lower profitability. No numerical earnings or revenue guidance is provided in this filing.
  • Management said elevated dispute losses had pressured results and expected them to normalize beginning in 2021 as improvement measures took effect. Lower interest income was expected to continue for the remainder of 2020. The company had taken cost-control and liquidity measures, including headcount management and delaying or reducing non-critical projects.
  • COVID-19’s duration and economic effects remained uncertain. Risks included reduced consumer spending and partner activity, expiration or reduction of government benefits, higher fraud and disputed-transaction losses, and low interest rates. The filing also highlights dependence on major distributors and partners: Walmart accounted for 27% of operating revenue in both Q3 and the first nine months.
  • Two related securities and derivative actions alleging misleading statements concerning business strategy were pending; Green Dot said it could not predict the outcome or determine whether the litigation would have a material impact.

Unusual items and other developments

  • A $5.1 million realized gain on investment-security sales contributed to year-to-date other income; the company also recorded $4.3 million of equity-method investment losses, including TailFin Labs-related losses.
  • Year-to-date stock-based compensation was $36.8 million, versus $30.1 million a year earlier. Green Dot issued Walmart 975,000 restricted shares under its relationship, vesting monthly through December 2022.
  • Adoption of the expected-credit-loss standard reduced beginning retained earnings by approximately $0.3 million, net of tax; management said the effect was not material.

Important facts for investors to verify

  • Whether elevated Q3 account volumes and revenue growth persist after government benefits and shifted tax refunds fade.
  • Whether operating costs—particularly processing expenses and dispute losses—moderate enough to restore margins.
  • How much of reported cash and deposit growth reflects customer funds versus corporate liquidity, and the company’s capacity to meet its TailFin Labs and other commitments.
  • Developments in the Walmart relationship, other key partner contracts, and the pending securities litigation.
  • Progress in replacing lost reload-partner volume and the impact of low interest rates on net interest income.
