Operating expenses rose 17% year over year to $48.5 million, or $20.42/bbl, mainly because of workovers and preventive-maintenance lifting costs. Transportation expense rose 50% to $4.6 million as low Colombian river levels associated with El Niño required longer-distance delivery routes. DD&A increased 8% to $56.2 million. Interest expense increased 56% to $18.4 million, including higher contractual interest and debt-cost amortization. G&A before stock compensation fell 15% to $9.5 million; stock-based compensation rose to $3.4 million from $1.5 million.

Balance sheet, liquidity and financing

  • Cash and cash equivalents were $126.6 million at March 31, versus $62.1 million at December 31, 2023. Cash, including restricted cash, was $135.5 million. Cash increased by $64.5 million over the quarter.
  • Current assets were $166.9 million and current liabilities were $257.7 million, a current-liability excess of approximately $90.8 million.
  • Total debt as presented on the balance sheet was $607.8 million, including lease obligations and net of applicable discounts and issuance costs, versus $555.1 million at year-end. The credit facility balance of $36.4 million was repaid and the facility terminated in February.
  • Gran Tierra issued an additional $100 million principal amount of 9.50% Senior Notes due 2029, receiving $88.0 million in proceeds, plus $2.8 million related to accrued interest. Notes outstanding at quarter-end included $24.8 million of 6.25% notes due 2025, $24.2 million of 7.75% notes due 2027 and $587.6 million of 9.50% notes due 2029.
  • Management said cash on hand and operating cash generation should be sufficient for planned strategic objectives and the capital program for the next 12 months, based on current oil-price trends and production levels. This is a forward-looking assessment, not a guarantee.

Material changes, outlook and risks

  • Compared with Q1 2023, Brent averaged $81.76/bbl versus $82.10; realized pricing improved primarily because quality and transportation discounts narrowed. The company’s sales were primarily to one major customer, representing 100% of sales volumes in Q1 2024, compared with 97% a year earlier.
  • Compared with Q4 2023, oil sales rose 2% and production NAR rose 4%; funds flow from operations declined 12% from $84.7 million. Adjusted EBITDA increased to $94.8 million from $93.0 million.
  • Q1 capital additions included $31.8 million for drilling and completions and $7.8 million for exploration. The company spud 11 development wells and two water-injection wells in Colombia; no wells were spud in Ecuador during the quarter. Management cited successful drilling and workover activity in Colombia and increased production in Ecuador for the sequential production increase.
  • The company repurchased 886,666 shares for approximately $4.9 million during the quarter, at a weighted-average $5.58 per share. The repurchase program allows purchases of up to 3,234,914 shares and expires November 2, 2024, or earlier if its limit is reached.
  • Letters of credit and other credit support totaled $222.6 million, including approximately $123.0 million related to the Suroriente Block extension agreement. Gran Tierra reported pending lawsuits and claims but believes their resolution will not materially adversely affect its financial position, results or cash flows.
  • Key risks include volatile oil prices and crude differentials, operational or transport disruptions, security and political events, regulatory approvals, foreign-exchange movements, and the company’s South American operating environment. The filing also identifies El Niño-related low river levels and resulting higher trucking costs. Senior Notes bear fixed rates, and management reported no material interest-rate exposure.

The filing provides no specific production, commodity-price, earnings or capital-spending guidance beyond the liquidity outlook described above. Adjusted EBITDA, operating netback and funds flow from operations are non-GAAP measures and may not be comparable with similarly named measures at other companies.

Important facts for investors to verify

  • Whether operating performance and cash generation can sustain planned capital spending, debt service and liquidity needs, particularly given the current-liability excess.
  • The terms, effective cost and refinancing or repayment plan for the 9.50% Senior Notes and the notes due in 2025.
  • Exposure to the major customer representing all Q1 sales volumes, and the resilience of transport routes under changing river and logistics conditions.
  • Whether narrowing crude differentials, drilling and workover results, and the stated 12-month liquidity outlook persist; these depend on market and operational assumptions.
  • The amount and timing of work-commitment obligations supported by letters of credit, and developments in pending legal matters.
