HDFC BANK LTD annual report, Q4 FY2024

HDFC Bank Limited — FY2024 Form 20-F Summary

Reporting period: Fiscal year ended March 31, 2024. This is an annual report, not a standalone Q4 earnings release; the filing text does not provide a clear standalone fourth-quarter income statement. Financial statements are prepared under U.S. GAAP and reported in Indian rupees.

Business context and reporting period

HDFC Bank is an India-based bank serving retail and wholesale customers, with treasury operations and, following its merger with Housing Development Finance Corporation Limited (HDFC Limited), insurance, asset management and related financial-services businesses. The merger became effective July 1, 2023. FY2024 includes the acquired businesses’ results only from that date, so comparisons with FY2023 are not like-for-like.

At March 31, 2024, the Bank reported 8,738 branches, 20,938 ATMs/CDMs and 93.2 million customers. It had 7.597 billion equity shares outstanding.

Cash flow and liquidity

Net cash provided by operating activities was Rs. 1,022.3 billion, compared with Rs. 477.2 billion in FY2023. Investing activities used Rs. 3,672.6 billion, while financing activities provided Rs. 3,347.3 billion. Cash and due from banks, including restricted cash, increased by Rs. 698.6 billion during the year.

The consolidated average liquidity coverage ratio for the three months ended March 31, 2024 was 115.17%, above the 100% regulatory minimum. The filing also states that net customer assets were 111.4% of deposits. Retail deposits were approximately 83.7% of total deposits; current and savings accounts were 38.1% of deposits at year-end.

Material changes versus the prior comparable period

  • The merger was the dominant change: assets rose 71.3%, net loans rose 54.4% and deposits rose 26.2% year over year, with the acquired businesses included for nine months. The filing cautions that FY2024 is not comparable with FY2023.
  • Net interest margin fell to 3.8% from 4.4%, and spread fell to 3.0% from 4.0%. Management attributes this chiefly to HDFC Limited’s lower-yielding assets, higher funding costs and the financing mix of the combined business.
  • Average time-deposit cost increased to 6.5% from 5.0%; interest expense on long-term debt rose 325.8%, alongside a substantial increase in average long-term debt.
  • Non-interest expense rose 128.1%, including insurance claims and benefits, employee and premises costs, and Rs. 21.2 billion of intangible-asset amortization. The cost-to-net-revenue ratio increased to 57.7%.
  • Net income increased, but basic EPS declined slightly to Rs. 88.66 from Rs. 89.02. FY2024 tax expense was unusually low at Rs. 77.8 billion, with an effective tax rate of 11.03%, principally reflecting recognition of prior-year unrecognized tax benefits following favorable orders.
  • Gross non-performing loans as a percentage of gross loans increased to 1.2% from 1.1%; the loan allowance ratio declined to 1.7% from 2.1%. The acquired mortgage portfolio raised the share of secured lending.

Outlook, management commentary, risks and unusual items

Management expects merger-related funding and margin pressures to continue in the short to medium term. Its stated priorities include growing low-cost deposits, matching longer-term borrowings to longer-term assets, managing advance growth against risk-adjusted returns and maintaining an adequate unencumbered liquidity buffer. Management cautions that these plans may not be achieved. The report cites India GDP growth of 7.1% and inflation of 4.6% as estimates for FY2025; these are macroeconomic forecasts, not Bank earnings guidance.

  • Integration and goodwill: The acquisition produced Rs. 1,628.1 billion of goodwill and Rs. 1,434.8 billion of identifiable intangibles at the acquisition date. Goodwill was not impaired at March 31, 2024, but remains subject to impairment testing. Management warns that expected synergies may not be realized fully or on schedule.
  • Regulatory divestitures: The Bank reduced its HDFC Credila stake to 9.99%. It is required to divest HDFC Education and Development Services by July 1, 2025; a binding base-bid term sheet expired in July 2024 and sale efforts were to continue. The Bank also must reduce certain other holdings below 10% by that date.
  • Funding and capital: Loans exceeded deposits at year-end, low-cost deposit share declined and acquired borrowings increased funding costs. The Bank cites low-cost deposit outflows in Q1 FY2025. Its additional D-SIB capital buffer rises effective April 1, 2025, increasing the stated aggregate minimum capital requirement to 11.9%.
  • Credit and macro risks: Risks include unsecured consumer lending, concentrated borrower and sector exposures, real estate and agricultural stress, interest-rate volatility, deposit rollover and liquidity risk, and the possibility of higher credit provisions.
  • Technology and regulation: The filing identifies cybersecurity, data privacy, operational resilience, third-party service providers and the integration of systems as ongoing risks. It discloses a March 2023 data breach at a third-party provider serving a subsidiary, involving some customer and prospective-customer contact details.
  • Other items: The Board recommended a FY2024 dividend of Rs. 19.50 per share, subject to shareholder approval. The auditor issued unqualified opinions on the consolidated financial statements and internal control over financial reporting; management also concluded internal controls were effective. A U.S. securities class action was dismissed with prejudice in June 2023.

Most important facts for investors to verify

  • Use the unaudited pro forma merger information and subsequent quarterly results to separate acquired-business contributions from organic growth; FY2024 includes only nine months of acquired results.
  • Track NIM, spread, deposit mix and funding costs, including whether low-cost deposits can grow enough to offset acquired higher-cost funding.
  • Review loan quality, provisions, write-offs and exposure concentrations, especially consumer, real estate, agriculture and unsecured portfolios.
  • Assess liquidity and refinancing against loan growth, deposit maturities and the enlarged long-term debt burden; verify performance against regulatory capital and liquidity requirements.
  • Monitor integration benefits and goodwill/intangible impairment indicators, along with completion and terms of required divestitures and the planned HDB Financial Services IPO.
  • Confirm shareholder approval and payment details for the proposed dividend, and review the filing’s financial statements and notes for U.S. GAAP, acquisition accounting and tax effects.
