  • Gross margin was 38.7%, versus 39.3%; operating margin was 20.1%, versus 20.8%. Net income attributable to HEICO was 12.8% of sales, versus 15.0%.
  • Interest expense rose to $38.6 million from $6.1 million, principally reflecting higher debt related to fiscal 2023 acquisitions. Effective tax rate fell to 11.8% from 16.9%, largely due to a $13.6 million stock-option tax benefit ($6.2 million in the prior period).
  • Operating cash flow increased, but management reported a $71.8 million increase in net working capital, including inventory growth of $49.8 million and a $50.5 million decrease in accrued expenses and other current liabilities. Investing cash use was $71.1 million, including $46.2 million for acquisitions and $13.4 million for capital expenditures.
  • Cash and equivalents were $196.3 million at January 31, 2024. Debt was approximately $2.50 billion, including $1.285 billion drawn on the revolving facility and $1.20 billion principal amount of senior notes. Debt-to-shareholders’ equity was 75.4%; HEICO reported compliance with debt covenants.
  • Backlog/remaining performance obligations were $1.444 billion: $952.6 million expected to be recognized during the rest of FY2024 and $491.7 million thereafter, mostly in FY2025.

Material changes versus the prior period

  • FSG sales grew 67% to $618.7 million, including $202.0 million from fiscal 2023 acquisitions and 12% organic growth. Demand rose in aftermarket replacement parts and repair and overhaul services. FSG operating income increased 63% to $136.1 million.
  • ETG sales grew 12% to $285.9 million, including $39.4 million from fiscal 2023 acquisitions; organic sales declined 5%, mainly due to lower demand for other electronics, medical and space products. ETG operating income declined 2% to $55.3 million.
  • Gross margin pressure reflected higher FSG inventory obsolescence and higher ETG research and development costs. New-product R&D expense increased to $25.1 million from $20.2 million.
  • A December 2023 Honeywell transaction added an exclusive license and assets supporting certain Boeing cockpit and legacy display product lines. Its sales and earnings contribution in the quarter was not material.

Outlook, risks and contingencies

  • Management anticipates sales growth in both segments for the remainder of FY2024, principally from fiscal 2023 acquisitions and demand for most products. It expects FY2024 capital expenditures of approximately $65 million. No quantified earnings or revenue guidance was provided.
  • Management expects operating cash flow and available revolving-credit borrowings to meet cash requirements for at least the next twelve months. It noted that results for this quarter are not necessarily indicative of full-year results.
  • Risks cited include commercial air-travel and airline purchasing trends; defense, space and regulatory demand; product-development and manufacturing challenges; acquisition execution and synergies; customer credit; interest, currency and tax rates; and inflation and broader economic conditions.
  • A Navy-related investigation involving a subsidiary’s pre-acquisition work remains unresolved. HEICO is cooperating and says it cannot predict the outcome or reasonably estimate any potential loss or business impact.
  • Redeemable noncontrolling interests were $365.9 million; put rights could require cash purchases of interests through fiscal 2032. Contingent consideration liabilities were $52.5 million, including $17.5 million expected to be paid in Q2 FY2024.

Investor verification priorities

  • Check whether FSG organic growth and ETG demand trends continue, and how much reported growth depends on acquisitions.
  • Track backlog conversion, inventory build and working-capital trends against operating cash flow.
  • Monitor debt levels, floating-rate borrowing costs and interest expense after the acquisition-related increase in leverage.
  • Assess whether margin pressure from obsolescence, R&D and amortization eases, and how much earnings benefit depends on stock-option tax deductions.
  • Follow developments in the Navy investigation, put-right obligations and contingent consideration payments.
