Material changes and notable items
- HEICO acquired Wencor in August 2023 for net consideration of approximately $2.05 billion, funded primarily with cash, debt and 1,137,628 Class A shares. Wencor contributed approximately $185.7 million of FY2023 sales and $22.6 million of net income attributable to HEICO.
- HEICO acquired 93.69% of Exxelia in January 2023 for net consideration of approximately $504.0 million; it later reduced its ownership to 90.97%. Exxelia contributed approximately $179.0 million of FY2023 sales; its impact on HEICO-attributable net income was not material.
- The company issued $600 million of 5.25% senior notes due 2028 and $600 million of 5.35% senior notes due 2033. The revolving credit facility was increased to $2.0 billion and extended to July 2028. The year-end weighted-average rate on revolving borrowings was 6.7%. HEICO reported compliance with debt covenants.
- Total backlog increased 35% to $1,863 million. FSG backlog was $1,013 million and ETG backlog was $850 million; most of the total was expected to be filled in FY2024. Acquisitions contributed to backlog growth.
- FY2023 dividends totaled $0.20 per share, up 11% from $0.18 in FY2022. The board declared a further $0.10-per-share dividend payable in January 2024.
Outlook, risks and contingencies
Management anticipated FY2024 sales growth in both segments, supported by acquired businesses and demand for most products. It also cited continued inflationary pressure on material and labor costs, potential need for further price increases, and ongoing integration of Wencor. The filing gives no specific numerical sales, earnings or margin guidance.
Key risks include commercial aviation cyclicality and slower international travel recovery; defense and space spending changes; supply-chain disruption and inflation; competition and product-development execution; acquisition integration and valuation; foreign-market, regulatory and export-control exposure; cybersecurity; and product-liability and environmental claims. Goodwill and intangible assets represented 64% of total assets. The annual goodwill test found no impairment; an immaterial intangible-asset impairment was recorded.
A subsidiary is cooperating with a federal grand jury investigation concerning its employment of an individual and work on certain Navy vessels during 2017–2019. HEICO stated that it cannot predict the outcome or reasonably estimate a possible loss. The auditor issued an unqualified opinion on the financial statements and internal controls; management and the auditor excluded Wencor and Exxelia from the 2023 internal-control assessment during their first year after acquisition. Inventory valuation and acquisition accounting were identified as critical audit matters.
Investor facts to verify
- How much FY2023 growth was organic versus acquired, particularly in ETG, and whether the anticipated FY2024 growth translates into improved margins.
- Wencor integration progress, acquisition accounting updates and realized earnings relative to the purchase price.
- Debt repayment capacity, refinancing and interest costs, covenant headroom, and cash needs for acquisition-related put rights. The filing estimates $92.4 million could be payable in FY2024 if eligible holders exercise.
- Inventory quality and conversion to sales and cash, given the increase in inventory and the auditor’s critical audit matter on inventory valuation.
- Developments in the Navy-related investigation and any resulting financial, legal or operational exposure.
