Inuvo, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Inuvo provides digital advertising technology and services, including its AI-based IntentKey product and Bonfire. The unaudited results are not necessarily indicative of full-year performance.
Financial performance and liquidity
- Revenue: $17.0 million, up 43.7% from $11.8 million in Q1 2023. Management attributed growth to accelerating demand from platform customers. Platforms represented 84.1% of revenue, versus 66.3% a year earlier.
- Gross profit and margin: $14.9 million and 87.7%, compared with $8.7 million and 73.1% in Q1 2023. Management cited a shift toward higher-margin platform revenue.
- Operating expenses: $17.0 million, up 40.7%. Marketing costs rose 84.9% to $13.1 million, principally alongside higher platform revenue. General and administrative expense fell 56.5% to $0.7 million, partly reflecting a $1.1 million reduction in expected credit losses.
- Loss: Operating loss was $2.1 million versus $3.4 million; net loss was $2.1 million versus $3.4 million. Basic and diluted loss per share was $0.02 versus $0.03. Weighted-average shares increased to 138.8 million from 121.0 million.
- Cash flow: Operating activities used $1.4 million, an improvement from $3.2 million used in Q1 2023. Investing activities used $0.5 million; financing activities used $0.2 million. Cash decreased $2.0 million during the quarter.
- Balance sheet and liquidity: Cash was $2.4 million at March 31, down from $4.4 million at year-end. Current assets were $12.2 million and current liabilities $13.6 million, a working-capital deficit of approximately $1.5 million. Stockholders’ equity was $15.1 million.
- Debt and leases: No borrowings were outstanding under the $5.0 million receivables-based credit facility; reported borrowing capacity was $5.0 million. The facility is due on demand and bears interest at 1.75% above prime. Lease liabilities totaled approximately $1.22 million.
Material changes and notable items
- Revenue growth and higher gross margin coincided with greater platform-customer concentration: one platform customer generated 75.9% of Q1 2024 revenue and represented 53.8% of gross receivables. In Q1 2023, three customers together generated 66.3% of revenue.
- The allowance for doubtful accounts declined by $1.16 million to $0.49 million. Inuvo recorded a $1.1 million adjustment for a former customer balance, saying the customer was paying consistently and was expected to pay the remainder. The adjustment reduced reported G&A expense and is a key judgment to monitor.
- Common shares outstanding were 139.4 million at quarter-end, compared with 138.0 million at December 31, 2023. The filing reports 139.9 million shares outstanding as of April 26, 2024.
Outlook, risks and contingencies
- Management is prioritizing marketing its multi-channel advertising capabilities and IntentKey, and expects a return to positive operating cash flow if its plan succeeds. It gives no quantified revenue, earnings or cash-flow guidance.
- Management believes cash and the credit facility can support operations for at least 12 months from the filing date, but notes recurring losses and operating cash outflows, a working-capital deficit, and that the credit facility is payable on demand. If IntentKey growth is unsuccessful, additional equity, debt or partnering/licensing may be needed.
- Customer concentration creates material exposure to changes in the leading customer’s ad activity, budgets, payment timing or use of Inuvo’s services. The filing also identifies risks involving advertising demand and suppliers, profitable traffic acquisition, privacy and regulatory changes, technology, fraud, and NYSE American listing compliance.
- On May 7, 2024, after quarter-end, Inuvo entered into a new at-the-market offering agreement for up to $15 million of common stock, with commissions of up to 3%. No shares had been sold under it as of the filing date. Proceeds, if any, are intended for general corporate purposes, potentially including working capital and acquisitions.
- Management reported effective disclosure controls and no material changes to internal control over financial reporting during the quarter. The filing reported no legal proceedings.
