  • Segment sales and margins: Potash sales were $37.6 million, with $5.6 million of gross margin, compared with $52.5 million and $14.4 million, respectively, in Q1 2023. Trio® sales increased to $36.5 million from $30.3 million, but the segment generated a $1.1 million gross deficit versus $1.5 million of gross margin in the prior-year period. Oilfield solutions sales increased to $5.3 million from $4.3 million, while gross margin increased to $2.0 million from $0.5 million.
  • Pricing and volumes: Average net realized potash price declined to $395 per ton from $485, and potash tons sold declined 17% to approximately 74 thousand tons. Average net realized Trio® price declined to $300 per ton from $344, while Trio® tons sold increased 40% to approximately 91 thousand tons.
  • Margins and unusual items: Gross margin was pressured by lower realized prices, reduced potash availability, a $0.5 million inventory valuation adjustment, and higher Trio® sales costs. The company recorded a $1.4 million impairment of long-lived Trio® assets and $1.1 million of other operating income related to the XTO cooperative development agreement.
  • Liquidity: Cash and cash equivalents were $34.1 million at March 31, 2024, compared with $4.1 million at December 31, 2023. Total current assets were $188.1 million and current liabilities were $39.5 million. At April 30, 2024, cash and cash equivalents were approximately $48.8 million.
  • Debt: The company had no borrowings outstanding and no letters of credit under its $150 million revolving credit facility at March 31 and April 30, 2024. The facility matures August 4, 2027, and the company was in compliance with its covenants.
  • Balance sheet: Total assets were $802.6 million and stockholders’ equity was $682.0 million at March 31, 2024. Inventory declined to $102.5 million from $114.3 million at December 31, 2023.
  • Tax: The company recorded a $0.8 million income tax benefit and reported a 19.8% effective tax rate, compared with $1.8 million of tax expense and a 28.4% effective rate in Q1 2023.

Material changes versus the prior comparable period

  • Consolidated sales decreased 9%, primarily because potash sales fell 28% on lower prices and volumes. Trio® sales increased 21% and oilfield solutions sales increased 25%.
  • Potash production declined at the HB and Wendover facilities, reducing inventory available for sale.
  • Trio® volume increased materially, supported by demand from domestic and international customers, but lower pricing and increased freight and production costs resulted in a gross deficit.
  • Operating results shifted from income to loss, reflecting weaker pricing, lower potash volume, the inventory adjustment, the Trio® impairment, and lower equity earnings from an unconsolidated entity.
  • Operating cash flow increased substantially, primarily because of a $45 million cash payment received from XTO under the cooperative development agreement. This benefit is not reflective of recurring product sales performance.
  • The company repaid $4.0 million of revolving credit borrowings during the quarter and made no new borrowings.

Guidance, outlook, commentary, risks and unusual items

  • Capital plan: Management expects 2024 capital investments of $40 million to $50 million, including approximately $20 million to $25 million of sustaining capital. Spending is expected to include the HB injection pipeline, a replacement extraction well at HB, and a new primary pond at Wendover.
  • Operating projects: The replacement HB extraction well was substantially completed in April 2024 and was expected to be commissioned in the second quarter. Phase Two of the HB injection pipeline project began construction in April, with commissioning expected in the third quarter. The new Wendover primary pond was expected to be commissioned in the second quarter.
  • Pricing outlook: Management stated that a January potash winter-fill program reduced the list price temporarily, followed by a price increase. Trio® pricing was increased by $25 per ton in response to strong demand, with most of the increase expected to be captured in the second quarter.
  • XTO agreement: XTO paid the remaining $45 million of the $50 million initial fee in January 2024. The agreement also provides for a $50 million access fee and potential access realization fees of up to $100 million, subject to specified conditions. The company is recognizing the estimated transaction price over the agreement term through February 2046.
  • Water-rights litigation: The New Mexico Supreme Court agreed to review the abandonment determination concerning the company’s Pecos River water rights. If the adverse decision is ultimately affirmed, the company may have to repay water sold under prior authorizations, potentially up to twice the volume sold. The amount, timing, and form of any repayment cannot currently be reasonably estimated, and no loss contingency has been recorded.
  • Leadership risk: On April 16, 2024, CEO and Executive Chairman Robert P. Jornayvaz III took a temporary medical leave. The lead director assumed chairman responsibilities, and CFO Matthew D. Preston became acting principal executive officer.
  • Other contingencies: The company had $2.5 million of estimated contingent liabilities at March 31, 2024, mainly related to potential royalty underpayments. It paid $1.9 million during the quarter to resolve a matter involving potential royalties on prior water revenues.
  • Key operating risks: Results remain sensitive to potash and Trio® pricing and demand, production reliability and weather, fertilizer and oilfield activity, water-rights litigation, environmental and mining regulation, reclamation obligations, transportation costs, labor availability, supply-chain conditions, and the potential for further asset or inventory impairments.

Investor verification points

  • Verify whether potash production and available inventory recover, particularly at the HB and Wendover facilities, and whether realized prices stabilize.
  • Assess whether the Trio® price increase offsets freight, production, and other costs and eliminates the segment gross deficit.
  • Separate recurring operating cash generation from the $45 million one-time XTO payment and monitor cash flow after planned capital spending.
  • Track commissioning and performance of the HB extraction well, HB injection pipeline, and Wendover pond projects against the stated schedule and budget.
  • Monitor the New Mexico water-rights appeal and any potential repayment obligation.
  • Evaluate the effect of the CEO’s medical leave and temporary leadership changes on execution and governance.
  • Confirm compliance with revolving-credit covenants and the company’s ability to fund the $40 million to $50 million 2024 capital program.
