Financial performance
| Metric | Q2 2023 | Q2 2022 | Six months 2023 | Six months 2022 |
|---|---|---|---|---|
| Revenue | $1.503B (+9%) | $1.377B | $2.912B (+10%) | $2.639B |
| Operating income | $283.1M (-5%) | $297.1M | $691.1M (+34%) | $514.4M |
| Net income | $198.0M (-3%) | $204.9M | $493.8M (+31%) | $377.4M |
| Diluted EPS | $2.48 | $2.53 | $6.17 | $4.60 |
| Cash from operations | Not presented quarterly | Not presented quarterly | $600.5M | $583.4M |
Q2 revenue growth was led by Conferences, up 49%; Research grew 6% and Consulting 5%. Q2 operating income and net income declined as service and development costs and SG&A rose faster than revenue. For the six-month comparison, operating income and net income benefited substantially from the TalentNeuron sale gain.
Q2 gross contribution margins were 73% for Research (74% prior year), 58% for Conferences (65%), and 37% for Consulting (42%). Consulting’s lower margin reflected higher personnel costs associated with increased headcount. Consolidated operating margin was approximately 18.8% in Q2 versus 21.6% a year earlier; the six-month margin was approximately 23.7% versus 19.5%, including the divestiture gain.
Financial position and liquidity
- Cash and cash equivalents were $1.173B at June 30, 2023, compared with $698.0M at December 31, 2022. Cash from operations was $600.5M for the six months; investing activities provided $109.4M, including sale proceeds, and financing activities used $228.7M, primarily for repurchases.
- Debt principal outstanding was $2.484B; net balance-sheet carrying amount was $2.460B. The company had no revolver borrowings and approximately $1.0B of available revolver capacity. Management said liquidity was adequate for anticipated needs over the next twelve months and foreseeable future.
- Debt included $2.2B of senior notes due 2028–2030 and a $278.6M term loan. The company reported compliance with credit-facility financial covenants. The term loan and revolving facility mature in 2025; $4.2M of principal was scheduled for repayment in the remainder of 2023.
- Current deferred revenue was $2.499B. Remaining performance obligations for contracts longer than one year totaled approximately $5.2B, with $1.7B expected to be recognized in the rest of 2023. This excludes qualifying contracts with original durations of one year or less.
Material changes and unusual items
- Gartner sold its non-core TalentNeuron business in February 2023 for approximately $161.1M after adjustments, receiving $156.1M cash in the first half and recording a $135.4M pretax gain. TalentNeuron had been part of Research. Q2 post-close adjustments reduced the gain by $3.9M.
- Conferences revenue increased as in-person destination events returned: Q2 attendees rose 69% year over year to 24,520. The segment’s margin nevertheless fell seven percentage points, to 58%.
- Research contract value was $4.6B, up 9% year over year on a foreign-exchange-neutral basis. Global Technology Sales contract value grew 7% and Global Business Sales 15%. Client retention was 84% in Technology Sales and 88% in Business Sales; wallet retention fell to 102% and 109%, respectively.
- Consulting backlog increased 17% to $171.6M, while utilization declined to 66% from 71% in Q2 2022. Management cautioned that contract optimization revenue can vary significantly and Q2 results may not indicate the remainder of the year.
- The company recorded $18.7M of first-half impairment charges, primarily on office lease-related assets no longer expected to be used. It also received $3.1M in first-half proceeds from 2020 event-cancellation insurance claims.
- In May, the credit agreement and interest-rate swap benchmark were amended from LIBOR/Eurodollar to SOFR. A $350M swap effectively fixes the base rate on variable-rate borrowings; the reported weighted average effective debt rate was 5.02% for the first half.
Outlook, risks and contingencies
The filing does not provide specific full-year 2023 revenue, earnings or cash-flow guidance. Management noted that interim results may not indicate future results and that conferences, especially the Gartner Symposium/Xpo series normally held in Q4, can make results fluctuate. Inflation had not materially affected operations, but management warned that personnel-cost inflation may not be fully offset by price increases.
Disclosed risks include macroeconomic and geopolitical conditions, interest rates and access to capital, customer renewals and new contract value, competition, hiring and retention of skilled staff, conference timing, foreign-exchange movements, cybersecurity, and tax and regulatory changes. The filing reported no material change to the risk factors in the 2022 Form 10-K. Gartner said pending legal matters were not expected to have a material effect beyond amounts accrued; no material indemnification payment obligations were reported.
The board authorized an additional $400M of repurchases in February 2023. At June 30, $827.9M remained under the repurchase authorization; the company spent $238.4M on treasury-stock purchases in the first half. Management did not expect the Inflation Reduction Act to materially affect future tax expense, cash taxes, effective tax rate or potential repurchases.
Important facts for investors to verify
- How Research contract-value growth and lower client and wallet retention develop in subsequent quarters.
- Whether higher operating costs and Consulting personnel expenses moderate, and whether Consulting utilization recovers.
- How much reported first-half earnings growth depends on the one-time TalentNeuron gain and other nonrecurring items.
- Whether Q4 conference timing and attendance support continued Conferences growth and margins.
- Debt-service capacity, variable-rate exposure despite the swap, and cash availability given that half of cash was held outside the United States.
- Potential effects of foreign-exchange volatility, lease impairments, tax audits and unrecognized tax benefits; the company reported $145.2M of gross unrecognized tax benefits at June 30, 2023.
