Kadant Inc. — Form 10-Q Summary
Reporting period: Fiscal second quarter and first six months of 2021, ended July 3, 2021; comparable periods ended June 27, 2020. The filing is unaudited. Although the request metadata says 2020 Q2, the filing itself reports 2021 Q2.
Business context and performance
Kadant supplies components and engineered systems to process industries through Flow Control, Industrial Processing, and Material Handling. Management attributed stronger results largely to recovering demand after COVID-19-related customer shutdowns and spending reductions in 2020, as well as pent-up demand and favorable activity in wood processing.

Cash, debt, and liquidity
- Cash and cash equivalents were $73.4m at July 3, 2021, compared with $65.7m at January 2, 2021. Restricted cash was $84.7m, including $84.2m held in escrow for the subsequent Clouth acquisition; it should not be treated as freely available cash.
- Six-month operating cash flow was $63.5m; investing cash outflow was $3.9m and financing cash inflow was $32.7m. Cash, cash equivalents, and restricted cash increased $91.5m, to $158.1m. Working-capital cash benefited from payables and customer deposits, partly offset by receivables and inventory growth.
- Total long-term obligations were $273.7m, including $258.7m drawn on the revolving facility, versus $233.5m at year-end. The facility had $140.5m available; additional uncommitted borrowing capacity was also described. The leverage ratio was 1.71, and the company reported compliance with covenants. No mandatory principal payments are due before 2023.
- Working capital was $244.3m, including the acquisition escrow. The company paid $5.7m in dividends during the first half and authorized up to $20m of share repurchases through May 2022; none had been made under the authorization as of the filing.
Outlook, commentary, and notable items
- Management reported record Q2 bookings of $213m and record quarter-end backlog of $242m. It expected strong financial results for the remainder of 2021, while anticipating existing Flow Control orders to moderate in the second half and revenue to remain strong on backlog. No numerical earnings or revenue guidance was provided.
- Management cited uncertainty from COVID-19, including the Delta variant, supply-chain constraints, material-cost inflation, and travel or customer-site visitation restrictions. It also noted exposure to foreign exchange movements and U.S. tariffs on certain Chinese imports.
- After quarter-end, Kadant acquired The Clouth Group for approximately €78m ($92m), net of cash acquired and debt assumed. Most entities were acquired July 19, 2021; the final entity followed August 10. Clouth, a maker of doctor blades and related equipment, will join Flow Control. Management expects ceramic-blade-market and geographic-sales synergies; purchase accounting was preliminary and goodwill had not yet been determined.
- First-half interest expense declined to $2.2m from $4.4m. Effective tax rate was 27% for the first half, above the 21% statutory rate, primarily reflecting worldwide earnings mix, nondeductible expenses, state taxes, and GILTI.
- The filing reported no material change in critical accounting policies or market-risk exposure. Management concluded disclosure controls were effective, and reported no materially affecting changes in internal control.
