Material Changes Versus the Prior Comparable Period

  • Nine-month revenue declined 9.5%; Technology revenue declined 7.0% and FA revenue declined 27.5%.
  • Q3 revenue declined 14.7%, including a 13.4% decline in Technology and a 26.1% decline in FA.
  • Nine-month Flex revenue declined 8.5%, while Direct Hire revenue declined 35.3%. Lower consultant volumes and placements more than offset higher average bill rates.
  • Total gross margin declined 160 basis points for the nine-month period, primarily because of lower Direct Hire mix and lower Technology Flex margins. Nine-month Flex gross margin declined 80 basis points to 26.1%.
  • Nine-month net income declined 33.6%, and diluted EPS declined 30.2%, partly reflecting lower revenue and profitability.
  • Q3 SG&A included $8.4 million of organizational realignment and legal settlement costs, reducing Q3 earnings by $0.36 per share after related tax benefits. Management expects the cost actions to reduce annual operating costs by at least $14.0 million.
  • Kforce returned $62.9 million to shareholders during the first nine months through $42.0 million of stock repurchases and $20.9 million of dividends. The company repurchased approximately 722 thousand shares and had $66.8 million remaining under its repurchase authorization at September 30.
  • Kforce sold its 50% WorkLLama joint-venture interest and settled the related note receivable in February 2023, generating approximately $5.1 million of net investing cash proceeds. The transaction eliminated the previously recorded equity-method investment and note receivable balances.

Guidance, Outlook, Risks, and Unusual Items

Management expects fourth-quarter Technology Flex revenue to remain stable sequentially but decline in the low double digits year over year. FA Flex revenue is expected to decline sequentially in the mid-single digits. Technology Flex gross margins are expected to be stable sequentially or slightly lower because of seasonal effects; FA margins had improved over the year as the business repositioned toward higher-skilled roles.

Management cited macroeconomic uncertainty, client restraint on technology initiatives, potential recession, elevated interest rates, geopolitical events, pricing pressure, consultant supply constraints, and changing client demand as principal risks. Staffing demand remains sensitive to employment trends, billing days, seasonality, client activity, bill rates, and consultant volumes.

The credit facility was amended in June 2023 to replace LIBOR-based benchmarks with SOFR-based rates and matures in October 2026. Kforce had no outstanding interest-rate swaps at quarter-end. The company believes available cash, operating cash flow, and borrowing capacity will meet operating and capital requirements for at least the next 12 months, but notes that deterioration in economic conditions could adversely affect liquidity and covenant compliance.

The company recorded $0.2 million of third-quarter and $0.4 million of year-to-date nondeductible stock-repurchase excise tax under the Inflation Reduction Act. A California PAGA matter reached a preliminary settlement in September 2023, subject to court approval; reserves were recorded, and management does not expect a material adverse effect. Executive employment agreements could require approximately $35.0 million of payments following a qualifying change in control and termination, or approximately $15.7 million absent a change in control.
