Debt, liquidity and capital allocation

  • Consolidated mortgage and other indebtedness was $1.734 billion at year-end, compared with $1.554 billion in 2014.
  • Debt had a weighted-average interest rate of 3.90% and weighted-average maturity of 5.2 years. Approximately 88% was fixed-rate or hedged and 12% was variable-rate.
  • The Company had $33.9 million of cash and $339.5 million available under its unsecured revolving credit facility, for approximately $373 million of combined liquidity.
  • In September 2015, the Operating Partnership issued $250 million of senior unsecured notes at a blended rate of 4.41% and average maturity of 9.8 years.
  • The existing unsecured term loan was increased from $230 million to $400 million, and a new seven-year unsecured term loan of up to $200 million was established; $100 million was drawn at year-end.
  • The Company retired $233.1 million of property-level secured debt and unencumbered approximately $440 million of gross assets.
  • All 4.1 million Series A preferred shares were redeemed in December 2015 for approximately $102.6 million, including accrued dividends.
  • Net debt to annualized fourth-quarter adjusted EBITDA was reported at 6.98x. A 100-basis-point increase in rates on unhedged variable-rate debt would reduce annual cash flow by approximately $2.2 million.

Material changes versus the prior comparable period

  • Revenue and operating income rose substantially, largely because 2015 included a full year of properties acquired in the Inland Diversified merger and contributions from four 2015 acquisitions.
  • 2015 merger and acquisition costs fell to $1.6 million from $27.5 million in 2014, when the Inland Diversified merger occurred.
  • The Company recorded a $4.8 million non-cash gain from releasing an assumed earnout liability, a $5.6 million non-cash gain on debt extinguishment, and a $4.5 million gain on settlement of an eminent-domain-related dispute.
  • The Company recorded a $1.6 million impairment charge related to Shops at Otty.
  • Four operating properties were acquired for an aggregate purchase price of $185.8 million, while nine operating properties were sold for aggregate gross proceeds of approximately $212.3 million and net gains of approximately $4.0 million.
  • Operating cash flow increased significantly, but investing activities used $84.4 million and financing activities used $94.9 million, after acquisitions, capital expenditures, debt repayment, preferred-share redemption and distributions.
  • Annual common distributions increased to $1.09 per share from $1.02 per share. Approximately 14% of 2015 distributions were classified as return of capital, 74% as taxable ordinary dividends and 12% as taxable capital gains.

Guidance, outlook, commentary and risks

Management characterized 2015 as a strong year for the shopping-center industry and emphasized rent growth, tenant-mix optimization, redevelopment and selective acquisitions in markets with favorable demographics. Management expects to deliver several additional development and redevelopment projects in 2016.

  • Three projects under construction had estimated total costs of $172.7 million, with $145.4 million incurred by year-end and approximately $27.3 million remaining over the following 12 to 18 months.
  • Potential redevelopment, repositioning and repurposing projects had estimated costs of $130 million to $145 million and targeted returns generally ranging from 9.0% to 11.0%; these opportunities remained subject to contingencies and were not assured.
  • Approximately $262.5 million of debt was scheduled to mature in 2016, excluding scheduled monthly principal payments. Management expected the remaining $100 million capacity under the seven-year term loan to fund a substantial portion of these maturities.
  • Management anticipated approximately $13 million to $15 million of major tenant improvements and renovation costs over the next twelve months.
  • Leases representing 6.7% of annualized base rent and 6.5% of total GLA/NRA were scheduled to expire in 2016.
  • Key risks include tenant financial distress or bankruptcy, retail-sector weakness and e-commerce competition, geographic concentration in Florida, Texas and Indiana, interest-rate and refinancing risk, leverage and covenant restrictions, development cost overruns, property impairment, environmental and insurance exposures, cybersecurity incidents, joint-venture risks and continued REIT qualification.
  • The Company had $14.7 million of outstanding letters of credit with no amounts advanced, completion guarantees related to development projects, and tax-protection restrictions and potential indemnity obligations affecting certain property dispositions before December 31, 2016.

Most important facts for investors to verify

  • Reconcile reported earnings, FFO and adjusted FFO for the non-recurring earnout release, debt-extinguishment gain, settlement gain, impairment and preferred-share redemption adjustment.
  • Assess whether the approximately 6.98x net-debt-to-annualized-adjusted-EBITDA leverage level is appropriate relative to expected property cash flow and refinancing needs.
  • Review the 2016 debt maturities, available term-loan capacity, revolving-credit availability and covenant headroom.
  • Monitor 2016 lease expirations, tenant retention, leasing spreads and occupancy, particularly for major anchors and concentrated markets.
  • Evaluate the funding, timing, lease-up and expected returns of the $172.7 million development pipeline and the potential $130 million to $145 million redevelopment program.
  • Confirm the sustainability of the increased common distribution, including the portion funded by cash flow versus return of capital.
  • Review geographic exposure, tenant credit quality, impairment assumptions, interest-rate hedges and the Company’s ability to maintain REIT status.
