Q3 net sales fell 15% year over year, while continuing-operations income declined 9%. Q3 gross margin improved year over year, but nine-month sales, profit, and Adjusted EBITDA were sharply lower. Prior-year net income includes discontinued-operation income of $97 million for Q3 and $196 million for the first nine months, including gains on EWP-related disposals; therefore, total net income comparisons are not like-for-like.

  • Segments, Q3: Siding sales were $345 million (down 13%) and Adjusted EBITDA was $71 million (down 21%). OSB sales were $335 million (down 14%), while Adjusted EBITDA rose 6% to $120 million. South America sales were $45 million (down 16%) and Adjusted EBITDA was $6 million (down 54%).
  • Drivers: Siding’s lower shipment volumes were partly offset by higher selling prices and lower input and freight costs; press rebuild costs also weighed on results. OSB’s Q3 EBITDA benefited from higher commodity prices and lower mill costs, offset by lower volumes. Nine-month OSB results were substantially below 2022 amid lower prices and shipments, market curtailments, and conversion of the Sagola mill to siding production.
  • Cash flow, nine months: Operating cash flow was $157 million, versus $1.103 billion in 2022. Capital expenditures were $236 million; investing cash outflow was $312 million, including the $80 million Wawa facility acquisition. Financing cash outflow was $61 million, including $52 million in dividends. Cash and cash equivalents ended at $160 million, down from $369 million at year-end 2022.
  • Liquidity and debt: Current assets were $745 million and current liabilities $266 million (current ratio about 2.8). Long-term debt was $347 million, comprising 3.625% senior notes due 2029; cash less debt was approximately negative $187 million. The $550 million revolving facility, due November 2028, had no borrowings outstanding at quarter-end. LP reported compliance with its financial covenants.
  • Other metrics: Q3 and nine-month effective tax rates on continuing operations were 27% and 36%. The nine-month rate included a $22 million tax expense after management changed its indefinite-reinvestment assertion for Chilean and Brazilian earnings. Average diluted shares were 72 million, versus 74 million in Q3 2022 and 80 million for the first nine months of 2022.

Material changes, outlook, and risks

  • In May 2023, LP acquired the Wawa, Ontario facility for $80 million, with plans to convert it into a SmartSide Trim & Siding mill. The facility remains shut down; construction timing is being evaluated against project schedules and market demand.
  • LP ceased Entekra manufacturing operations in 2023 and recorded $35 million of business exit charges for the first nine months, including asset impairments, inventory write-downs, and restructuring costs.
  • LP agreed to pay $16 million to resolve patent-related claims and obtain patent rights; $12 million remained payable at September 30. Environmental contingency reserves totaled $26 million. Management cautioned that ultimate contingency payments could materially exceed accrued amounts, although it did not expect ongoing or future proceedings to materially affect the company based on information then available.
  • Management described housing and repair-and-remodel demand as uncertain. U.S. single-family starts were up 7% in Q3 but down 13% for the first nine months year over year; multi-family starts were down 28% and 11%, respectively. Repair-and-remodel activity was moderating. OSB pricing and supply-demand conditions remain difficult to predict. The filing provides no specific earnings or revenue guidance.
  • Key risks include housing-market cyclicality, OSB commodity-price volatility, raw-material, energy, and transportation costs, supply or manufacturing disruptions, foreign-exchange exposure, environmental and product-liability matters, and potential covenant or impairment issues. LP reported no material change to previously disclosed risk factors and no other impairment indicators at quarter-end.
  • LP revised its definitions of Adjusted EBITDA, Adjusted Income, and Adjusted Diluted EPS to exclude certain business exit charges; prior periods were not revised because comparable costs were not significant. These non-GAAP measures are not substitutes for GAAP results.

Important facts for investors to verify

  • Whether Siding shipment volumes and OSB prices and volumes stabilize, and how market curtailments and the Sagola conversion affect segment earnings.
  • The timing, remaining investment, and expected returns for the Wawa mill conversion, relative to demand.
  • Cash generation, capital spending, and liquidity as the business cycle and working-capital needs change.
  • The ultimate cost and timing of environmental contingencies, the patent settlement, and any additional Entekra-related charges.
  • The assumptions behind management’s tax treatment of Chilean and Brazilian earnings and the company’s non-GAAP adjustments.
