Material changes versus the prior comparable period
- Reported revenue declined because the U.S. dollar strengthened substantially, producing a 12.0% unfavorable currency impact in the third quarter and an approximately $0.32 unfavorable impact on diluted EPS. On a constant-currency basis, Q3 revenue increased 5.4%.
- Americas revenue increased 24.3% in Q3 and 23.3% for the nine-month period, primarily due to the ettain acquisition and stronger demand for Experis, staffing, interim, and permanent recruitment services.
- Southern Europe and Northern Europe reported Q3 revenue declines of 14.4% and 18.2%, respectively, largely due to currency effects, weaker Manpower staffing demand, the Russia disposition, and regional economic pressures. APME revenue declined 4.0% reported but increased 12.0% in constant currency.
- Margins improved due to favorable business mix, growth in higher-margin permanent recruitment and professional staffing, improved staffing/interim margins, and the Experis acquisition. Personnel and investment costs increased as the company added recruiters and sales personnel.
- The company recognized $12.0 million of Experis acquisition integration costs during the first nine months, including $5.6 million in Q3. It also recognized a $9.7 million net loss related to the Russia disposition during the nine-month period and a $4.1 million gain from the sale of Belgium’s Service Voucher Division.
- Foreign currency translation generated a $143.8 million comprehensive loss for the first nine months, increasing accumulated other comprehensive loss to $533.2 million at September 30, 2022.
Guidance, outlook, risks, and unusual items
- Management stated that available cash and credit facilities should be sufficient for foreseeable needs and expects to remain in compliance with debt covenants for the next 12 months. No formal revenue or EPS guidance is provided in the filing text.
- The company expects to fund or refinance the €500.0 million notes maturing in June 2026 using available cash, the revolving facility, or new borrowings, subject to credit-market conditions.
- Macroeconomic risks include a potential global slowdown, elevated inflation, higher energy prices and interest rates, the Russia-Ukraine war, supply-chain disruptions, labor and tax-law changes, and continued foreign-exchange volatility.
- The annual goodwill impairment test produced no impairment charge. However, the Netherlands reporting unit’s estimated fair value approximately equaled carrying value, creating heightened impairment risk if operating performance or macroeconomic conditions deteriorate. Goodwill allocated to that reporting unit was $96.8 million.
- The remaining restructuring reserve was $12.4 million, with most expected to be paid by the end of 2023. The company recorded no net restructuring costs in the first nine months of 2022.
- Guarantees and standby letters of credit totaled $789.3 million. Management does not expect significant cash payments under these arrangements based on their nature and historical experience.
Investor verification priorities
- Verify the sustainability of constant-currency growth and margin expansion after the benefit of the Experis acquisition and as European demand and economic conditions change.
- Monitor currency exposure, especially the euro, and its effect on reported revenue, EPS, accumulated other comprehensive loss, and debt balances.
- Assess working-capital requirements, rising DSO, and the decline in operating cash flow relative to earnings.
- Review the refinancing plan for the €500.0 million notes due in 2026 and the company’s compliance with revolving-credit covenants.
- Track the Netherlands reporting unit against its impairment assumptions, including revenue growth, margins, discount rate, and macroeconomic conditions.
- Evaluate the impact of acquisition integration costs, the Russia disposition, restructuring payments, share repurchases, and dividend commitments on future cash generation.
