Outlook, commentary, risks, and unusual items
- Management expects continued opportunities from automation, digitalization, biopharma, and customer on/near-shoring, but cautioned that macroeconomic conditions remain uncertain and 2023 comparisons will be difficult after strong growth in 2021 and 2022. The filing does not provide a clear numerical 2023 revenue or EPS forecast.
- Management expects 2023 capital expenditures to be about $15 million above 2022 and intends to spend a similar amount on share repurchases as in 2022, subject to business and economic conditions. Approximately $75 million of 2023 interest payments were expected on year-end debt.
- Key risks include inflation and supply-chain disruption, economic slowdown and higher interest rates, COVID-19 effects in China, exposure to China, currency fluctuations, the Russia-Ukraine conflict and related sanctions, cybersecurity and system outages, competition, and debt and refinancing requirements. Russia shipments were suspended; Russia and Ukraine represented approximately 1% of 2021 sales combined.
- At year-end, $547 million remained available under the $1.25 billion revolving credit agreement; 73% of debt interest payments were fixed, and the company reported covenant compliance. A $150 million, 10-year note at 5.45% was scheduled for issuance in March 2023.
- Share repurchases totaled $1.1 billion and were financed through operating cash, borrowings, and cash balances. The board authorized an additional $2.5 billion for the program in November 2022; $3.5 billion remained available at year-end.
- Other notable matters: a $10 million PendoTECH contingent payment remained expected in 2023; environmental monitoring at a New Jersey site is estimated to cost about $0.4 million over the next several years. Management reported no material litigation expected to adversely affect the company. The auditor issued an unqualified opinion and identified product revenue recognition as a critical audit matter; internal control over financial reporting was reported effective.
