Q2 sales grew 34% in U.S. dollars and 27% in local currencies; first-half growth was 29% and 23%, respectively. Net earnings increased 46% in Q2 and 49% in the first half. Net margin rose to 20.0% from 18.3% in Q2 and to 19.3% from 16.8% for the first half. Product sales grew faster than service sales. Management attributed performance to broad-based demand, strong execution, and particularly strong China growth; PendoTECH contributed approximately 1% to consolidated sales.

Changes, capital allocation, and unusual items

  • Sales gains were broad-based. First-half local-currency sales increased 22% in the Americas, 18% in Europe, and 28% in Asia/Rest of World. China sales grew 39% locally for the first half.
  • Gross margin improved, which management attributed primarily to higher volume and favorable price realization, partly offset by higher transportation and material costs and prior-year temporary savings. SG&A as a share of sales declined to 25.9% from 27.5% in Q2 and to 26.7% from 29.0% for the first half.
  • In March, the company acquired PendoTECH for an initial $185m cash payment, with up to $20m additional contingent consideration. The acquisition added $93.7m of goodwill; acquisition costs were $2.8m in the first half.
  • First-half share repurchases totaled $475m for 390,538 shares, compared with $200m for 268,161 shares in the prior-year period. Remaining program authorization was $2.6bn at June 30.
  • Total debt increased, primarily to fund the acquisition. The company amended its revolving credit agreement in June, extending maturity to June 2026. It also agreed to issue $125m of 2.83% senior notes in July 2021, intended to refinance debt and for general corporate purposes.

Outlook, risks, and contingencies

The filing provides no quantified full-year sales or earnings guidance. Management said operating results to date are not necessarily indicative of full-year results and believed operating cash flow, available credit, local facilities, and cash balances would fund anticipated working capital and capital spending needs for the foreseeable future. It expects $10m–$15m of net investment in new or expanded manufacturing facilities over the next two years.

COVID-19 uncertainty remains, and the supply chain was operating with some interruption. Management cited component availability, material shortages, supplier and transportation delays, and higher transport and material costs as risks to future sales and profitability. Other notable exposures include currency movements—particularly the Swiss franc, euro, and Chinese renminbi—and the effect of exchange rates on reported debt. Management noted harder year-over-year comparisons in China for the remainder of 2021. Legal proceedings, including environmental matters, were described as routine; management did not expect them to have a material adverse effect. No material risk-factor changes were reported.

Important facts for investors to verify

  • Whether strong sales and margin trends persist as comparisons become more difficult and pandemic-related conditions evolve.
  • Whether supply constraints and higher input and freight costs affect margins, delivery performance, or demand.
  • Post-acquisition PendoTECH performance, integration, and contingent consideration, and the assumptions behind its acquired intangible assets and goodwill.
  • Debt levels, covenant headroom, refinancing plans, and the balance between borrowing, acquisitions, and substantial share repurchases.
  • Foreign-exchange sensitivity: management estimated that a 1% Swiss franc strengthening against the euro could reduce annual pretax earnings by $1.8m–$2.0m; a 1% renminbi weakening against the U.S. dollar could reduce them by $2.1m–$2.3m.
