Net cash used in operating activities was $7.90 million, versus $6.83 million in FY2016; investing cash use was $0.16 million, versus $0.48 million. Financing used $1.00 million, reflecting cash repayment of part of Series B debt. No conventional revenue or gross margin was reported, so operating margins are not meaningful. The company reported an accumulated deficit of $75.13 million.

FY2017 net loss improved by $0.42 million, although operating expenses rose by $0.74 million. Management attributed the lower net loss mainly to a larger derivative fair-value gain and lower interest expense. Results also included a $1.70 million gain from changes in derivative fair value and a $0.33 million noncash loss on extinguishment of Series B debt.

Debt, liquidity and capital

At June 30, 2017, the balance sheet showed $4.67 million of current liabilities and $2.02 million of long-term liabilities. The $5 million Series C convertible debenture, held by a director, is due June 30, 2018, bears 10% interest, and is convertible at the holder’s option at $5.25 per share. Reported debt is net of accounting discounts. The filing states there is no current long-term debt, while separately disclosing the Series C obligation as current.

The $6 million Series B debenture matured in January 2017. The company settled $5 million of principal and $27,178 of accrued interest by issuing restricted common shares, retaining $5 million in cash; the remaining $1 million principal was repaid in cash. Common shares outstanding increased from 58.18 million to 63.31 million during the year. At year-end, 6.67 million warrants were outstanding; Series A preferred shares could convert into 15.22 million common shares upon a change of control.

Management estimated available cash would support budgeted operations through September 2018, but said additional financing would be needed for clinical trials and continued development. It budgeted approximately $8 million of cash expenditures for the next 12 months, including about $6 million for R&D and $2 million for G&A. It estimated a further $10–20 million would be needed over the following two years for shingles clinical development, with another $40–60 million over the subsequent 36–48 months for broader pipeline development. These are estimates, not committed funding.

Pipeline, outlook and material risks

  • Priority program: HerpeCide, particularly topical candidates for shingles (VZV) and herpes labialis (HSV-1). The company reported preclinical and ex vivo human-skin-model results, including VZV inhibition; these are not clinical results. It identified shingles as its leading prospective candidate, but did not yet have a TheraCour license for VZV.
  • Development status: All candidates remained preclinical, and no formal drug licensing application had been submitted. Management said it had funding to pursue at least one IND filing, with a late-2018 IND filing described as the best case; it could not reliably predict clinical-trial or approval timing. The filing also says funding for human clinical trials was not in hand.
  • Other programs: Influenza candidates were lower priority; DengueCide was on hold despite orphan-drug designation; HIVCide had the lowest priority due to cost. Ebola work was suspended absent non-dilutive funding. No products or commercial partnerships were in place.
  • Execution and financing risks: The company reported fiscal constraints, reduced affiliate R&D staffing of about 25%, loss of about 40% of Chemistry and Engineering personnel through attrition, and delays to its development timeline. Its facility was cGMP-capable but not yet registered as a cGMP facility; staffing and quality-system needs remained. It relies on external laboratories and CROs for animal, toxicology and future clinical studies.
  • Related-party dependence: TheraCour supplies core technology and development work, charged $3.37 million in FY2017, and was owed $340,695 at year-end. NanoViricides’ president and chairman owns about 70% of TheraCour; TheraCour held about 15.2% of NanoViricides common stock. The Series C debenture is also held by a director.
  • Other risks: Long drug-development and regulatory timelines, uncertain preclinical-to-human translation, patent and licensing risks, potential future equity dilution, and continued operating losses. Management reported disclosure controls and internal control over financial reporting were effective; the auditor gave an unqualified opinion on the financial statements but did not audit internal control effectiveness.

Most important facts for investors to verify

  • Whether cash burn and financing after June 30, 2017 supported the stated runway through September 2018, and whether additional capital was raised on acceptable terms.
  • Current status of the planned shingles IND, required toxicology and manufacturing work, and any FDA feedback; distinguish company-reported preclinical findings from validated clinical evidence.
  • Whether NanoViricides obtained a VZV license from TheraCour and on what economic terms.
  • Repayment, conversion or refinancing of the Series C debenture due June 30, 2018, including interest and potential share dilution.
  • Actual staffing, facility readiness and quality-system progress, plus current related-party balances and transactions.
