Segment performance
- Wellbore Technologies: 2023 revenue of $3.172 billion, up 14%; operating profit of $423 million, or 13.3% of sales. International and offshore demand, throughput, and market-share gains outweighed weaker North American activity.
- Completion & Production Solutions: Revenue of $3.034 billion, up 17%; operating profit of $188 million, or 6.2% of sales. Higher-margin international and offshore project progress supported results, partly offset by softer North American demand. Year-end backlog was $1.822 billion.
- Rig Technologies: Revenue of $2.608 billion, up 28%; operating profit of $314 million, or 12.0% of sales. International/offshore demand, aftermarket activity, and offshore-wind project progress contributed to growth. Year-end backlog was $2.868 billion.
Material changes and financial position
- Revenue rose 18.6% year over year, and operating profit increased from $264 million to $651 million. All three segments reported higher annual revenue and operating profit.
- Worldwide average rig count increased 3.8% in 2023, while average WTI crude prices fell 18% and average natural-gas prices fell 60% from 2022.
- Cash declined by $253 million during the year. Investing cash use was $293 million, including $283 million of capital expenditures; financing cash use was $103 million.
- NOV reported $1.725 billion of debt, mainly $1.091 billion of 3.95% senior notes and $495 million of 3.60% senior notes. Its $2.0 billion revolving facility was undrawn at year-end; the company reported a 23.9% debt-to-capitalization ratio against a 60% covenant limit. About $728 million of cash was held by foreign subsidiaries.
- Capital-equipment backlog totaled about $4.69 billion across Completion & Production Solutions and Rig Technologies. Management expected approximately $1.393 billion and $810 million, respectively, to convert to revenue in 2024, subject to project timing and execution.
Outlook, risks, and unusual items
Management characterized the oilfield market as being in the early stages of an extended recovery, citing constrained production capacity and energy-security needs. It expected activity and demand to benefit, while warning that geopolitical uncertainty and a slowing global economy could pressure commodity prices. Management also expects growth in energy-transition markets, including offshore and onshore wind, geothermal, and carbon capture, but did not provide quantified company-wide earnings or revenue guidance.
- Tax-related earnings and uncertainty: The $485 million valuation-allowance release depended on management’s assessment of future taxable income. A $346 million valuation allowance remained. The IRS has proposed an adjustment related to 2017 restructuring; NOV appealed and estimates a potential $48 million additional tax expense if unsuccessful. A separate $51 million Danish transfer-pricing assessment was paid and recorded as a long-term receivable while under appeal.
- Royalty litigation and collection: NOV accrued about $78 million of drill-bit royalty revenue for 2023. It is litigating with licensees over unpaid royalties; receivables were discounted and reclassified as long-term. Collection timing and litigation outcomes remain uncertain.
- Project and market exposure: Results are sensitive to oil and gas activity, commodity prices, customer finances, fixed-price project cost overruns, delivery delays, supplier availability, labor costs, and contract cancellations or disputes.
- Geopolitical and foreign-exchange exposure: NOV reported $84 million of foreign-currency transaction losses in 2023. Russia-related impairment and other charges were $4.2 million in 2023 versus $126.8 million in 2022; the proposed sale of its Russian business remained subject to approvals.
- Other items: 2023 included $52 million of voluntary early-retirement charges and a $25 million noncash royalty-receivable discount charge, partly offset by a $25 million earnout credit and $20 million of inventory-sale credits.
- Other matters: The filing identifies potential environmental, product-liability, regulatory, cybersecurity, climate-policy, and goodwill-impairment risks. NOV reported no cybersecurity incident with a material adverse effect and no goodwill impairment in 2023.
Important facts for investors to verify

- Whether operating cash flow improves as inventory and receivables are converted to cash; 2023 earnings growth did not translate into strong operating cash generation.
- Execution, margins, and cash collection on the large equipment backlog, including expected 2024 conversions and exposure to fixed-price contract costs and delays.
- Developments and recoverability of the disputed royalty receivables, the Danish tax receivable, the IRS appeal, and the proposed Russian-business sale.
- How the new two-segment reporting structure affects comparability, and whether energy-transition opportunities generate material orders and profitable revenue.
